Abstract

Fasilitas kredit jangka panjang yang diberikan oleh bank atau lembaga pembiayaan kepada nasabahnya seringkali menimbulkan ketidakcocokan antara sumber dana dengan penggunaan dana (mismatch fund) karena sumber dana yang diperoleh perusahaan tersebut biasanya berasal dari dana jangka pendek dan juga akan terjadi risiko likuiditas karena terdapat kesenjangan antara kebutuhan aliran kas untuk mendanai kegiatan usaha dengan ketersediaan dana. Salah satu solusi yang dapat dilakukan adalah dengan sekuritisasi aset, berupa Efek Beragun Aset berbentuk Kontrak Investasi Kolektif, yang dalam penelitian ini memiliki aset dasar berupa kumpulan tagihan kredit pensiunan. Penelitian ini bertujuan ini untuk memahami bentuk perlindungan hukum bagi investor dari Kontrak Investasi Kolektif Efek Beragun Aset. Metode penelitian yang digunakan adalah penelitian hukum normatif dengan jenis data yang digunakan adalah data sekunder. Kesimpulannya, peranan Notaris dalam membuat akta otentik yang mendasari pembentukan Kontrak Investasi Kolektif Efek Beragun Aset dan sifat jual putus atau tukar menukar putus (true sale) dari aset dasar berupa kredit pensiunan dapat memberikan perlindungan hukum bagi investor atau pemegang Efek Beragun Aset. / Long-term credit facilities provided by banks or financial institutions to their customers often create a mismatch between sources of funds and the use of funds because the source of funds is obtained by banks or financial instituritions usually comes from short-term funds and there is a liquidity risk in it because there is a gap between the needs of cash flow to support business activities and the availability of funds. Asset securitization is one of the solutions, which is Asset Backed Securities in the form of Collective Investment Contracts, which in this research the underlying asset is in the form of retirement credit collecton. The aim of this research is to understand the form of legal protection for investors of the Asset Backed Securities Collective Investment Contract. The research method used is normative legal research with the type of data used is secondary data. In conclusion, the role of the Notary in drawing up an authentic deed to establish the Asset Backed Securities Collective Investment Contract and the nature of the true sale of the underlying assets in the form of retirement credits can provide legal protection for investors or holders of Asset Backed Securities.
