Abstract

Penelitian hukum ini bertujuan untuk menganalisa konflik norma yang ada diantara Pasal 77 Undang – Undang Nomor 40 Tahun 2007 yang mengatur mengenai RUPS secara telekonferensi dengan Pasal 90 Undang Nomor 40 Tahun 2007 yang mengatur RUPS yang diselenggarakan secara konvensional yang dihadiri oleh notaris. Penulisan ini juga bertujuan untuk menganalisa mengenai tanda tangan elektronik dan memberikan penjelasan yang lebih jelas mengenai tanda tangan elektronik. Penulis mendapatkan kesimpulan bahwa notaris dalam menjalankan tugasnya hingga saat ini belum berwenang untuk membuat Berita Acara RUPS secara telekonferensi untuk Perseroan Terbatas Tertutup, dan Pasal 90 UUPT tidak dapat diterapkan untuk RUPS secara telekonferensi. Tanda tangan elektronik yang terdapat dalam Penjelasan Pasal 77 ayat (4) merupakan tanda tangan elektronik yang tersertifikasi dan harus memenuhi ketentuan yang ditentukan dalam Undang – Undang ITE. / This legal research aims to analyze the conflict of norms that exist between Article 77 of Law Number 40 of 2007 which regulates the GMS by teleconference with Article 90 of Law Number 40 of 2007 which regulates a conventional GMS which is attended by a notary. This writing also aims to analyze the electronic signature and provide a clearer explanation of the electronic signature. The author concludes that in carrying out his duties until now he has not been authorized to make a teleconferencing Minutes of the GMS for a Limited Liability Company, and Article 90 of the Company Law cannot be applied to the GMS by teleconference. The electronic signature contained in the Elucidation of Article 77 paragraph (4) is a certified electronic signature and must meet the provisions stipulated in the ITE Law.
