Abstract

Tesis ini meneliti tentang para pihak yang terlibat dalam Surety Bond jika Principal dinyatakan Pailit. Kepailitan mengakibatkan Principal kehilangan segala hak keperdataan untuk menguasai dan mengurus harta kekayaan yang telah dimasukkan ke dalam harta pailit. Selain itu, perlu diketahui bahwa terjadi tumpang tindih peraturan perundang-undangan yang mengatur tentang Surety Bond, sehingga menimbulkan berbagai permasalahan dan hambatan dalam pelaksanaannya. Perlindungan hukum bagi pemberi jaminan (Surety) terhadap Principal yang dinyatakan pailit diantaranya yaitu sita umum untuk kepentingan kreditor, ketentuan gijzeling untuk kepentingan kreditor, perluasan pengertian kreditor dalam Undang-Undang Kepailitan dan PKPU, pembuktian sederhana dalam Undang-Undang tersebut, sedangkan perlindungan hukum bagi obligee terhadap Principal yang dinyatakan pailit yaitu Surety dilarang melakukan tindakan yang dapat menghambat penyelesaian atau pembayaran klaim atau tidak melakukan tindakan yang seharusnya dilakukan dan akan dikenakan sanksi apabila tidak dilaksanakan. Upaya hukum yang dapat dilakukan oleh Surety dan Obligee dalam hal Principal dinyatakan pailit diantaranya yaitu actio pauliana, upaya hukum terhadap putusan pailit (kasasi dan peninjauan kembali), melakukan reasuransi (asuransi ulang) sebagai upaya untuk menyebarkan risiko yang ada (spreading of risk), melakukan pengecekan terhadap bonafiditas Principal sebagai upaya preventif sebelum menerbitkan Surety Bond, dan khusus bagi Obligee harus memperhatikan syarat-syarat dan ketentuan bagi Surety Company untuk menerbitkan Surety Bond sesuai ketentuan yang berlaku. Maka dari itu perlunya Pemerintah melakukan harmonisasi terhadap peraturan perundang-undangan terkait dengan Surety Bond, untuk menyelaraskan peraturan perundang-undangan terkait dengan Surety Bond, baik yang lebih tinggi, sederajat, maupun yang lebih rendah, dan hal-hal lain di luar peraturan perundang-undangan, sehingga tersusun secara sistematis, tidak saling bertentangan atau tumpang tindih (overlaping). / This thesis examines about the parties involved in the Surety Bond if the Principal declared bankruptcy. Bankruptcy resulted in the Principal losing all rights of the cause to master and take care of the wealth that has been incorporated into the estate of the bankrupt. In addition, please note that there is an overlap of legislation governing the Surety Bond, giving rise to various problems and obstacles in the implementation. Legal protection for the assurance (Surety) of the Principal which is declared bankrupt of which is the general Sita for the benefit of creditors, gijzeling provisions for the interests of creditors, expansion of the creditor understanding of the Bankruptcy Act and PKPU, simple evidence in the law, while the legal protection of the obligee of the Principal declared bankrupt that the Surety is forbidden to perform actions that could impede the settlement or payment of claims or not to take action that should be taken and will be penalized if The legal remedies that Surety and Obligee can do in terms of Principal are declared bankrupt among them Actio Pauliana, a legal remedy against the ruling of bankruptcy (casting and reconsideration), reinsurance as an effort to disseminate the risk (spreading of risk), to check the Bonafiditas Principal as a preventive attempt before issuing the Surety Bond, and specifically for Obligee should pay attention to the terms and conditions for the Surety Company to issue the Surety Bond in accordance with the prevailing provisions. Therefore the need of the Government to harmonize the legislation related to Surety Bond, to align legislation related to Surety Bond, higher, equal, and lower, and other things outside the legislation, so it is systematically arranged, not mutually contradicted or overlapping.
