Abstract

Keputusan bisnis yang diambil oleh Direksi perusahaan dalam hal ini BUMN memiliki dampak yang signifikan terhadap kinerja Persero (PT). Kinerja PT yang baik dapat memberikan keuntungan seperti pendapatan maupun peningkatan nilai perusahaan. Dalam rangka mengusahakan keuntungan tersebut Direksi harus dapat melakukan tindakan bisnis (corporate action) yang tepat. Dalam tindakan bisnis tersebut, tidak jarang Direksi PT mengambil tindakan yang bersifat future value dengan melakukan tindakan yang beresiko merugikan perusahaan untuk mengharapkan keuntungan yang sebesar-besarnya bagi perusahaan di kemudian hari. Tindakan direksi tersebut dalam konteks pengelolaan BUMN, seringkali dipandang sebagai tindakan yang merugikan keuangan negara karena dianggap sebagai tindak pidana korporasi yang berujung pada tindak pidana korupsi. Permasalahan seringkali muncul ketika harus dilakukan penilaian ada atau tidaknya kerugian negara, dimana seringkali terjadi perspektif yang berbeda antara BUMN dengan para aparat Penegak Hukum. Seringkali aparat Penegak Hukum tidak bisa melihat adanya future value dari tindakan yang dilakukan oleh sebuah BUMN Persero yang merupakan sebuah tindakan bisnis. Hal tersebut disebabkan karena peraturan perundang-undangan yang berkaitan dengan aspek pengelolaan kekayaan negara saling memberikan pemaknaan yang berbeda berkaitan dengan keuangan negara dan kerugian keuangan negara yang menyebabkan ketidakpastian hukum. Permasalahan dalam disertasi ini adalah 1). Bagaimana kepastian hukum atas suatu transaksi yang bersifat future value di lingkungan BUMN? 2). Bagaimana implementasi perlindungan hukum bagi Direksi BUMN dalam melakukan transaksi future value? 3). Bagaimana pengaturan terkait transaksi future value yang baik dan memenuhi aspek kepastian hukum bagi Direksi BUMN ?. Metode penelitian yang digunakan adalah yuridis normatif, yaitu penelitian yang menekankan pada pengunaan norma-norma hukum secara tertulis yang dikaitkan persepsi dan pandangan narasumber. Hasil penelitian menunjukan bahwa saat ini belum terdapat kepastian hukum dalam tindakan future value yang dilakukan oleh BUMN demi kepentingan Persero. Hal tersebut menyebabkan Direksi BUMN tidak memiliki perlindungan hukum yang memadai dalam melakukan corporate action untuk mendapatkan keuntungan dan mewujudkan visi misi BUMN. Kebijakan yang berkaitan dengan transaksi future value yang dilakukan oleh Direksi BUMN (PT) dalam rangka corporate action yang dijalankan demi kepentingan perusahaan ke depannya harus dipandang bahwa suatu tindakan Direksi BUMN untuk mewujudkan visi dan misi BUMN, tidak dapat dianggap sebagai kerugian keuangan negara apabila nilai kerugian bisnis tersebut lebih kecil dari besarnya keuntungan yang di capai oleh BUMN dan tidak menyentuh modal negara (kekayaan negara) yang disetorkan ke dalam BUMN. Pemerintah bersama-sama dengan DPR perlu melakukan revisi berkaitan dengan undang-undang keuangan negara, BUMN, dan PT, sehingga setiap pihak khususnya Penegak Hukum, Praktisi (Direksi), dan Akademisi mempunyai pemahaman yang sama berkaitan dengan keuangan negara, pemisahan keuangan negara, dan kerugian keuangan negara. Kata Kunci: Future Value, BUMN, Transaksi Bisnis, Kepastian Hukum, Direksi / Business decision made by the Board of Directors of a company, in this case SOE, has significant impacts on the performance of a Limited Liability Company (LLC). Good performance of LLC can have benefits, such as revenue and increased value of the company. In order to generate profit, the Board of Directors must be able to take appropriate corporate action. When taking corporate action, the Board of Directors of LLC often takes future value action by performing risky action which may damage the company in expectation of the highest possible profit for the company in the future. The action of the Board of Directors in the context of SOE management is often viewed as detrimental to state finances because it’s considered corporate crime which ends with corruption. Problems often occur when performing assessment of state loss as SOE and Law Enforcers often have different perspectives. Law Enforcers often can’t see the future value of a corporate action taken by an SOE Persero. This is because legislations related to state assets management have differing definitions on state finances and state financial loss, leading to legal uncertainty. The problems in this dissertation are 1). How is the legal certainty on a future value transaction in state-owned enterprises? 2). How is the implementation of gal protection for the Board of Directors of SOE in performing future value transaction? 3). How are the regulations on future value transaction which is good and meets legal certainty aspect for the Board of Directors of SOE? The research method was judicial normative, which is a study which emphasizes the usage of written legal norms which are related with the source’s perception and view. The research result showed that currently there is no legal certainty on future value action performed by SOE for the interest of the Company. As a result the Board of Directors of SOE doesn’t have adequate legal protection in taking corporate action to generate profit and realize the vision and mission of SOE. Policy related to future value transaction performed by the Board of Directors of SOE (PT) as corporate action performed for the interests of the company in the future should be viewed as an action by the Board of Directors of SOE to realize the vision and mission of SOE, not as state financial loss if the value of the business loss is smaller than the profit generated by SOE and doesn’t affect the state capital (state assets) deposited to the SOE. The government and DPR should reviews laws of state finances, SOE, and LLC, so that every party, especially Law Enforcers, Practitioners (Board of Directors), and Academicians have the same understanding on state finances, separation of state finances, and state financial loss.
