Abstract

The birth of Law Number 40 of 2007 concerning the Company Limited (UUPT), accommodating aspirations and accommodating technological developments by receiving a teleconference or video conference contained in Articles && UUPT. However, the General Meeting of Shareholders (GMS) is conducted through teleconference will be a problem because Article 77 paragraph (4) The Company Law requires that the minutes of the meeting be approved and signed by all GMS participants. So that the making of authentic deeds has problems considering the GMS done not only in one place but in several different locations In this research, the problem raised is how the mechanism for making Deeds from minutes by teleconference; what is the power of proof from the minutes of the GMS conducted with teleconference. This type of research is a normative study obtain secondary data as the main material for the research. Data obtained through library research was analyzed qualitatively and was written using descriptive methods. Based on the analysis of these data, the following results were obtained: 1) Making deeds can be done by a notary in 2 (two) ways, namely that the GMS is attended by Notary, the Deed of Meeting Minutes (Akta BAR) is made directly by the Notary and if the GMS is not attended by a Notary, then the Proxy of the GMS will appear before a Notary Notary to state the resolutions of the GMS in a Notary Deed referred to as the Deed of Meeting Decision Statement (PKR Deed). 2) The BAR deed has the evidentiary power attached to it is perfect and binding. For Deed BAR, the notary's responsibility lies in the formal and material correctness and for The PKR Deed has perfect and temporarily binding evidentiary power the responsibility of the Notary is limited to the formal truth. / Lahirnya Undang-Undang Nomor 40 Tahun 2007 Tentang Perseroan Terbatas (UUPT), menampung aspirasi dan mengakomodasi perkembangan teknologi dengan diterimanya telekonferensi atau video conferenceyang terdapat pada Pasal && UUPT. Namun Rapat Umum Pemegang Saham (RUPS) yang dilakukan melalui telekonferensi akan menjadi permasalahan karena dalam Pasal 77 ayat (4) UUPTmewajibkan pembuatan risalah rapat disetujui dan ditandatangani oleh semua peserta RUPS. Sehingga pembuatan akta otentik mengalami kendala mengingat RUPS dilakukan tidak hanya di satu tempat melainkan di beberapa tempat yang berbeda letak geografisnya.Dalam penelitian ini, permasalahan yang diangkat yaitu bagaimana mekanisme pembuatan Akta dari risalah yang dilakukan secara telekonferensi; bagaimana kekuatan pembuktian dari risalah RUPS yang dilakukan dengan telekonferensi.Jenis penelitian ini merupakan penelitian yang bersifat normatif untuk memperoleh data sekunder sebagai bahan utama peneltian.Data yang diperoleh melalui peneltian kepustakaan dianalisis secara kualitatif dan ditulis dengan metode deskriptif. Berdasarkan analisis terhadap data-data tersebut, diperoleh hasil sebagai berikut : 1) Pembuatan akta dapat dilakukan Notaris dengan 2 (dua) cara, yaitu RUPS dihadiri oleh Notaris, maka Akta Berita Acara Rapat (Akta BAR) dibuat langsung oleh Notaris dan jika RUPS tidak dihadiri Notaris, maka Penerima Kuasa RUPS mengahadap dihadapan Notaris untuk menyatakan keputusan-keputusan RUPS ke dalam Akta Notaris yang disebut dengan Akta Pernyataan Keputusan Rapat (Akta PKR). 2) Akta BAR memliliki kekuatan pembuktian yang melekat padanya adalah sempurna dan mengikat. Untuk Akta BAR, tanggung jawab Notaris terletak pada kebenaran formil dan materiil dan untuk Akta PKR memiliki kekuatan pembuktian yang sempurna dan mengikat sedangkan tanggung jawab Notaris hanya terbatas pada kebenaran formil saja.
