Abstract

In this globalization era, law is one of the tools needed by everyone, in form of laws and regulation that binds and have legal certainty and strict law enforcement by legal officers. One of the officers in the field of civil law is a notary who hold a position as public officials (openbaar ambtenaar). In carrying out his acts, notary expected to reflect in its service to the public. In addition of making authentic deeds, serves as legal advisor and provider of information, in order to manufacture the authentic deed. Nowadays, smuggling of law with a notary deed is considered as a way to pass the restriction in some specific actions that have been set by the law which is called nominee deed. Nominee deed is an agreement an/or statement which contents not accordance with law and doesn’t fulfill the requirements of objective validity of an agreement. The formulations of the research is how the notary responsibility build upon UUJN and Kode Etik associated with shareholder deed nominee of limited liability company and the validity of the shareholder deed nominee of limited liability company under the law of the Republic of Indonesia. This research method is normative juridical, where research focuses on the study of literature on secondary data. From this research, obtained the conclusion that responsibility of the notary in making the shareholder nominee deed inflicted is administrative sanction which regulated by UUJN and Kode Etik. As for the legal consequences of the shareholder nominee deed which made by notary shall be void by law because it doesn’t fulfill the the requirements of objective validity of an agreement. / Di era globalisasi ini, hukum merupakan salah satu sarana yang dibutuhkan oleh semua orang, berupa Undang-Undang, peraturan hukum yang mengikat dan mempunyai kepastian hukum serta tindakan penegakan hukum yang tegas dari aparat penegak hukum. Salah satu aparat hukum di bidang keperdataan adalah notaris yang menjalankan jabatannya sebagai pejabat umum (openbaar ambtenaar). Dalam melaksanakan jabatannya Notaris diharapkan bertindak untuk merefleksikannya di dalam pelayanannya kepada masyarakat. Selain membuat akta otentik, notaris berfungsi sebagai penasihat hukum dan pemberi informasi dalam rangka pembuatan akta otentik tersebut. Dewasa ini penyelundupan hukum dengan akta notariil dianggap sebagai jalan keluar untuk melewati batasan-batasan dalam beberapa tindakan tertentu yang telah ditetapkan oleh peraturan perundang-undangan, salah satunya adalah pembuatan akta nominee saham. Akta nominee saham merupakan perjanjian dan/atau pernyataan yang isinya tidak sesuai dengan peraturan perundang-undangan yang mengaturnya serta tidak memenuhi syarat objektif sahnya suatu perjanjian. Rumusan masalah dalam penelitian ini adalah bagaimana pertanggungjawaban notaris berdasarkan UUJN dan Kode Etik terkait dengan akta nominee saham perseroan terbatas dan keabsahan akta nominee perseroan terbatas dalam aturan hukum Indonesia. Metode penelitian ini merupakan penelitian yuridis normatif, dimana penelitian menitikberatkan pada studi kepustakaan pada data sekunder. Dari penelitian ini diperoleh kesimpulan bahwa tanggung jawab notaris dalam pembuatan akta nominee saham yang dibuatnya adalah berupa sanksi administratif yang diatur dalam UUJN dan Kode Etik. Adapun akibat hukum terhadap akta nominee yang dibuat oleh notaris adalah batal demi hukum, karena tidak memenuhi syarat objektif yaitu sebab yang halal (tidak sesuai dengan peraturan perundang-undangan).
