Abstract

We live in the age of globalization that mandates a free movements of goods, services, people and capital. The globalization and the financial crisis since the mid - 1997 has taught Indonesian numerous lessons from corporate governance perspective. Various debates on the corporate collapse tend to blame bad practices of Corporate Govemance as the primary cause. Although such causal relationship needs to be further proved, the bad practices of Corporate Govemance in the pre-crisis period was undeniable fact of life. The government is under high pressures to reform Corporate Governance to meet the pressures from various interaational organizations, including IMF, the World Bank and ADB. In addition, a tougher global competition to raise sources of fimding due to globalization has created a high pressure for public companies to establish and implement Good Corporate Governance as it becomes one of the most critical conditions for investors' decisions. In response to globalization and tight pressures from various intemational organizations, the government has instantly amended laws and regulations to reform the Corporate Governance. The reform has been made primarily by adapting the Anglo-Saxon system of Corporate Governance into the Indonesian legal system without appropriate adjustments to domestic environment. However, the central issue of Corporate Governance in Indonesia differs from the central issue in Anglo-Saxon countries (especially in USA and UK) in addition to differences in governance structure and the institutional environments. Accordingly, the adaptation of Anglo-Saxon system of Corporate Governance in legal reform will face a very big challenges for its implementation in Indonesia
