7 pages; 2 annex) This final project discusses the occurrence of irregularities in the establishment of a limited liability company associated minimum requirements of shareholders. In practice there is a company that seems founded by two or more people, thus legitimately qualify the provisions of Article 7 paragraph (1) of Law Number 40 Year 2007 regarding Limited Liability Company. Once created the deed, was followed by the making of a statement and a letter of authorization which entitles investors to sell and attend the General Meeting of Shareholders. The method used in this research is normative juridical. This research is descriptive analysis aims to explain how the irregularities in the establishment of a limited liability company associated minimum requirements of shareholders and the validity of the establishment of a limited liability company which is done by irregularities relating to the minimum requirements of the shareholders. Based on the research of the legal analysis can be summarized as follows: (1) The reason for the deviation in the establishment of limited liability of shareholders relating minimum requirements in practice many do. The owners of capital will try to find someone who can be utilized as a shareholder if only for the name alone. On the basis of such thoughts, in practice arises limited liability company established by two or more people, but actually only be established by one person only. (2) The validity of the establishment of a limited liability company that is done by irregularities relating to the minimum requirements of shareholders, from the aspect of formality, the establishment of PT PSU remain valid under the deed No. 18 dated March 15, 2008 and its validity is not at issue. / Tugas Akhir ini membahas mengenai terjadinya penyimpangan dalam pendirian perseroan terbatas berkaitan persyaratan minimal pemegang saham. Dalam praktek terdapat suatu perseroan yang seolah-olah didirikan oleh dua orang atau lebih, sehingga sah memenuhi syarat ketentuan Pasal 7 ayat (1) UndangUndang Nomor 40 Tahun 2007 tentang Perseroan Terbatas. Setelah dibuat akta pendirian, ternyata diikuti dengan pembuatan surat pernyataan dan surat kuasa yang memberikan hak kepada pemodal untuk menjual dan menghadiri Rapat Umum Pemegang Saham. Metode yang digunakan dalam penelitian ini adalah penelitian yang bersifat yuridis normatif. Penelitian ini merupakan penelitian deskriptif analisis yang bertujuan untuk menjelaskan bagaimana terjadi penyimpangan dalam pendirian perseroan terbatas berkaitan persyaratan minimal pemegang saham dan keabsahan pendirian perseroan terbatas yang dilakukan dengan cara penyimpangan berkaitan dengan persyaratan minimal pemegang saham. Berdasarkan penelitian dari analisa hukum dapat disimpulkan sebagai berikut : (1) Alasan terjadinya penyimpangan dalam pendirian perseroan terbatas berkaitan persyaratan minimal pemegang saham dalam praktek banyak dilakukan. Para pemilik modal akan berusaha untuk mencari orang yang dapat dimanfaatkan sebagai pemegang saham meskipun hanya untuk atas nama saja. Atas dasar pemikiran yang demikian, dalam praktek timbul perseroan terbatas yang didirikan oleh dua orang atau lebih, namun sebenarnya hanya didirikan oleh satu orang saja. (2) Keabsahan pendirian perseroan terbatas yang dilakukan dengan cara melakukan penyimpangan berkaitan dengan persyaratan minimal pemegang saham, dari aspek formalitas, pendirian PT PSU tetap sah berdasarkan akta pendirian Nomor 18 tanggal 15 Maret 2008 dan keabsahannya tidak dipermasalahkan.
