Abstract

Capital markets have an important role to the national development in general and as an alternative source of external financing for the company in specific. The sources of financing obtained by the companies through capital market involves public fund by a way of Public Offering or commonly called as Go-Public. Given Go-Public is an effort to accumulate public funds by the Public Company, thus in order to provide legal certainty and legal protection to the public, Go-Public can only be done through a long process and involving many parties, among other Notary Public. This study was intended to comprehensively analyze the role and responsibilities of a notary in Go-Public process, thus a Notary, prospective Notary in specific or the public in general knows what are the roles of the Notary in a Go-Public process, one of which is to prepare Minutes of General Meeting of Shareholders to change the corporate status from closed company to open company including the agreements as to make the Go-Public process run well. Other than that, this study is also intended to determine the responsibilities of a Notary Public in a Go-Public process including the legal consequences of the notary negligence in making the notarial deeds for the GoPublic. / Pasar Modal mempunyai peran yang penting bagi pembangunan nasional pada umumnya dan sebagai salah satu alternatif sumber pembiayaan eksternal bagi perusahaan pada khususnya. Sumber pembiayaan yang diperoleh oleh perusahaan melalui Pasar Modal melibatkan dana masyarakat melalui mekanisme Penawaran Umum atau biasa disebut dengan Go-Public. Mengingat Go-Public merupakan upaya menghimpun dana masyarakat yang dilakukan oleh Perusahaan Terbuka, maka untuk memberikan kepastian dan perlindungan hukum kepada masyarakat, proses Go-Public hanya dapat dilakukan melalui suatu proses yang tidak singkat dan melibatkan banyak pihak, salah satunya Notaris. Penelitian ini dilakukan untuk melihat secara komprehensif peran dan tanggung jawab Notaris di dalam proses Go-Public sehingga sehingga diharapkan Notaris, calon Notaris pada khususnya ataupun masyarakat pada umumnya mengetahui apa saja yang merupakan tugas Notaris dalam suatu proses Go-Public salah satunya adalah dengan pembuatan Berita Acara Rapat Umum Pemegang Saham untuk mengubah status perusahaan dari perusahaan tertutup menjadi terbuka termasuk akta-akta perjanjian yang melekat sehingga proses Go-Public dapat berjalan dengan baik. Selain daripada itu, penelitian ini juga dimaksudkan agar Notaris mengetahui tanggung jawab Notaris didalam suatu proses Go-Public termasuk akibat hukum atas kelalaian Notaris di dalam membuat akta-akta perjanjian dalam proses GoPublic.
