Abstract

Acquisitions or better known as a takeover is a legal act performed by a legal entity or an individual to take over all or most of the shares of a company that could result in the shift of control of the company. In the takeover process the author found an authority violation case committed by Directors of Limited Liability, where there were irregularities committed by a member of the Board of Directors from the Limited Liability that will perform the take over, where the authority which should be conducted by two Directors which are Managing Director together with one member of the Board of Directors, instead it was done by only one member of the Board of Directors. This overview is conducted by using a normative juridical research conducted by examining library materials or more secondary data, so it can be regarded as normative legal research or legal literature research. After analysis is performed, the author conclude that to the notarial deed signed by the Board of Directors who violate the Articles of Association and the Constitution of LLC, gives rise to legal consequences for the companies that make acquisitions, the acquired company/the target company and the creditor. That legal consequences could also resulted in the cancelation of the notarial deed, with the request from the concerned parties, whereas the legal remedies that can be taken against the notarial deed is to ratify or cancellations. / Akuisisi atau yang lebih dikenal dengan pengambilalihan adalah perbuatan hukum yang dilakukan badan hukum atau orang perseorangan untuk mengambil alih baik seluruh atau sebagian besar saham Perseroan yang dapat mengakibatkan beralihnya pengendalian terhadap Perseroan tersebut. Dalam proses pengambilalihan tersebut penulis menemukan pelanggaran kewenangan yang dilakukan oleh Direksi Perseroan. dimana terdapat penyimpangan yang dilakukan oleh salah seorang anggota Direksi dari suatu Perseroan Terbatas yang akan mengambil alih, dimana kewenangan yang harusnya dilakukan oleh dua orang Direksi yaitu Direktur Utama bersama-sama dengan salah seorang anggota Direksi, oleh salah seorang Direksi yang mewakili tersebut dilakukan seorang diri. Penulisan ini dilakukan dengan menggunakan metode penelitian yuridis normatif yang dilakukan dengan cara meneliti bahan pustaka atau data sekunder belaka, sehingga dapat dikatakan sebagai penelitian hukum normatif atau penelitian hukum kepustakaan. Setelah dilakukan analisis, maka penulis dapat menyimpulkan bahwa terhadap akta Notaris yang ditandatangani oleh Direksi yang melanggar Anggaran Dasar dan Undang-Undang Perseroan Terbatas mengakibatkan timbulnya konsekuensi hukum baik bagi perusahaan yang melakukan akuisisi, perusahaan yang diakuisisi/perusahaan target maupun pihak kreditur. Konsekuensi itu juga mengakibatkan akta Notaris tersebut dapat dibatalkan, sepanjang ada permintaan oleh pihak-pihak yang berkepentingan, sedangkan upaya hukum yang dapat dilakukan terhadap akta Notaris tersebut adalah dengan cara meratifikasi atau melakukan pembatalan.
