Abstract

The Deed of Power of Attorney to Sell as the basis of execution of the guarantee for project implementation in the contracting agreement may cause some technical and juridical problem, therefore such agreement shall be able to shown evidence on the fulfillment of the legal requirement and the freedom of contract principles along with the other principles that related with this agreement. The shortage of the requirement and the provisions in the agreement may cause the power of attorney to sell lose its property rights as referred in the law concerning guarantee, and makes the power of attorney to sell become the general power of attorney as stipulated in Article 1792 of Indonesian Civil Code, and may be unilaterally revoked by one of the party in accordance to Article 1813 of the Indonesian Civil Code. The contracting agreement is one of the agreements to conduct works as stipulated in the Indonesian Civil Code, nowadays the contracting agreements faces several modifications in its implementations, where one of the modifications is on the utilization of deed of power of attorney to sell as a guarantee of project implementation in the housing development project, this type of contracting agreement shall take into account the validity of the guarantee provided by the contractor as the guarantee of project implementation and the legal protection of the contractor. / Akta kuasa menjual sebagai dasar pengeksekusi jaminan pelaksanaan yang umumnya terjadi dalam perjanjian pemborongan dapat menimbulkan permasalahan secara teknis dan yuridis, oleh karena itu perjanjian tersebut harus dibuktikan tentang bagaimana syarat sahnya perjanjian dan asas kebebasan berkontrak serta asas-asas lain yang terkait tentang hukum perjanjian. Kurang lengkapnya persyaratan dan pengaturannya dapat mengakibatkan akta kuasa menjual ini tidak menimbulkan hak kebendaan yang dimaksudkan dalam hukum jaminan, melainkan hanya sebagai perjanjian kuasa yang diatur dalam Pasal 1792 Kitab Undang-undang Hukum Perdata, dan karenanya dapat dicabut secara sepihak oleh salah satu pihak berdasarkan Pasal 1813 Kitab Undangundang Hukum Perdata. Perjanjian pemborongan merupakan salah satu perjanjian untuk melakukan pekerjaan yang diatur dalam Kitab Undang-undang Hukum Perdata, dewasa ini perjanjian pemborongan mengalami berbagai modifikasi dalam pelaksanaannya, salah satunya adalah penggunaan akta kuasa menjual sebagai jaminan pelaksanaan proyek dalam perjanjian pemborongan pembangunan rumah tinggal, perjanjian pemborongan dengan hal seperti ini pada dasarnya harus memperhatikan keabsahan tentang penjaminan milik pemborong sebagai jaminan pelaksanaan proyek serta harus memperhatikan perlindungan hukum bagi pemborong.
