Abstract

The basic laws on the commission agent of Indonesia are governed by around ten clauses in the Indonesian Commercial Code. Although the title of such basic laws is named as the "commission agent", they also govern the relation betvveen the commission agent and its principal, however the substantial stipulations deal with the commission agent. The commission agent normally uses its own name (wilhout disclosing its principal) in the course of transactions with the third party, but such transactions are entered into at the account of its principal. Because of the commission agent acts in its own name, it lesults in a thought that no representation exists in the contract of commission. Olher thoughl analyzes the issue based on the objectives and the contemplatio domini, whereby such analysis results in the indirect representation which is upheld by certain court decision. The management of financial assets are incorporated in certain management agreements used by certain intermediaries m Indonesia having the nature of contract of commission However, certain clauses in such agreements should be aware of by the investors, such as "no guaranty of investment yield" and the "exoneration clause". Certain securities companies unlawfiilly misused their customers' asset suspected to have occurred in the Indonesian Capital Market, benefiting from the loophole of contract of commission, namely using the commission agent's name at the account of the principal
