Abstract

Notaris dalam menjalankan kewenangannya untuk membuat akta suatu Perseroan Terbatas, memiliki tanggung jawab terhadap akta itu sendiri dan wajib mengisikan atau memasukan format data perseroan secara elektronik di Sistem Administrasi Badan Hukum (SABH) untuk memperoleh pengesahannya. Dalam prakteknya, suatu data perseroan yang terdapat dalam daftar perseroan pada SABH ditemukan adanya perbedaan data dengan akta yang dibuat oleh Notaris. Penelitian ini bertujuan untuk meneliti lebih lanjut mengenai keabsahan data perseroan sehubungan dengan adanya perbedaan di akta Notaris dengan daftar perseroan di SABH. Penelitian ini menggunakan jenis penelitian yuridis normatif empiris yang dilakukan dengan mengkaji dan membahas ketentuan hukum terhadap peristiwa hukum tertentu yang terjadi dalam suatu masyarakat. Hasil penelitian ini menunjukan bahwa perbedaan data tersebut dikarenakan ketidakcermatan Notaris dalam melakukan pengisian daftar perseroan pada SABH dan tidak cermat memeriksa kesesuaian data suatu perseroan pada akta Notaris yang telah dibuatnya. Oleh karena adanya perbedaan data perseroan antara akta Notaris dan Daftar Perseroan, maka yang diakui keabsahannya adalah Akta Notaris itu sendiri yang merupakan hasil keputusan para pemegang saham yang sudah disetujui. Selain itu agar suatu akta tidak cacat hukum, maka Notaris harus mempertanggungjawabkan dengan cara melakukan perbaikan data perseroan di SABH sebagaimana diatur dalam Peraturan Menteri Hukum dan Hak Asasi Manusia. Temuan penelitian ini dapat memberikan manfaat bagi Notaris dan untuk penelitian selanjutnya./Notary, in exercising its authority to draw up the deed of a Limited Liability Company, has responsibility for the deed itself and is required to fill in or enter the company data format electronically in the Legal Entity Administration System (SABH) to obtain its approval. In practice, a company data contained in the list of companies in SABH is found to be a difference between the data and the deed made by a notary. This study aims to further investigate the validity of company data in connection with differences in the notary deed and the list of companies in SABH. This research uses normative juridical empiric research which is conducted by examining and discussing legal provisions regarding certain legal events that occur in a society. The results of this study indicate that the difference in data is due to the notary's carelessness in filling out the list of companies in the SABH and not carefully checking the suitability of a company's data on the Notary deed that he has made. Due to differences in company data between the Notary Deed and the Company Register, the validity of the Notary Deed itself is recognized as the result of an approved decision by the shareholders. In addition, so that a deed is not legally flawed, the Notary must be accountable by correcting the company data in SABH as regulated in the Regulation of the Minister of Law and Human Rights. The findings of this study can provide benefits for notaries and for further research.
