Abstract

PT Wijaya Karya Realty Tbk. (“Wika Realty”), merupakan perusahaan property yang mencatatkan tanah dan bangunan sebagai persediaan dalam laporan keuangannya dan menjaminkan persediaannya tersebut secara fidusia kepada bank. Berdasarkan hukum tanah di Indonesia, terhadap tanah dan bangunan yang dimiliki oleh satu pihak hanya dapat dijaminkan secara hak tanggungan alih-alih secara fidusia. Oleh sebab itu pengikatan tanah dan bangunan yang dilakukan bertentangan dengan UU Hak Tanggungan sehingga dalam hal Wika Realty wanprestasi maka akan berpengaruh pada eksekusinya. Untuk menjawab rumusan masalah tersebut, diperlukan suatu penelitian untuk menjawab rumusan masalah tersebut berdasarkan peraturan perundang-undangan. Penelitian ini adalah jenis penelitian hukum dengan metode penelitian hukum yuridis normatif. Disamping itu, penelitian ini menggunakan pendekatan perundang-undangan (statue approach) dan pendekatan konseptual (conceptual approach). Hasil penelitian menyimpulkan bahwa pengikatan persediaan tanah dan bangunan secara fidusia bertentangan dengan UU Hak tanggungan sehingga tidak memiliki kekuatan eksekutorial. Adapun bank yang telah menerima persediaan tanah dan bangunan secara fidusia sebaiknya meminta melakukan pembatalan atas akta Jaminan Fidusia dan meminta kepada perseroan untuk membebankan tanah dan bangunan yang dijaminkan secara hak tanggungan atau memberikan jaminan pengganti /PT Wijaya Karya Realty Tbk., is a property company who listed their land and buildings as inventory in its financial statements and pledge the said inventory by fiduciary basis to the bank. Based on land law in Indonesia, over land and building which owned one party only can secured by security rights (hak tanggungan) instead of fiducia basis. Therefore the imposition over land and building is contrary with UU Hak Tanggungan, so in case Wika Realty is default, it will impact to the execution. To answer the said problem, a research is necessary to answer the problem based on the applicable laws. This research is a legal research which uses the normative method of legal study. This research also uses statue and conceptual approach. Result of this research concludes that imposition inventory in the form of land and building on fiduciary basis is contrary to hak tanggungan law and not enforceable. Bank who has received inventory in the form land and building on a fiduciary basis should ask the company to revoke the said security and ask the company to impose their land and building on security rights basis or provide replacement security
