Abstract

Perseroan Terbatas sangat penting dan strategis untuk menggerakkan dan mendongkrak roda perekonomian di Indonesia. Seiring dengan perkembangan zaman yang disertai dengan kemajuan teknologi, para pelaku ekonomi dituntut untuk terus dapat menemukan ide-ide dan gagasan-gagasan yang kontruktif untuk tetap dapat mempertahankan eksistensi perusahaannya. Salah satu aksi korporasi (corporate action) yang dilakukan yaitu pengambilalihan (akuisisi), Akibat dari akuisisi yaitu terjadinya perubahan pengendali dalam Perseroan yang diambilalih. Namun, ada Perseroan Terbatas di Indonesia yang tidak diketahui siapa pemilik dari Perseroan tersebut, akibatnya Perseroan dapat digunakan sebagai kendaraan (corporate vehicle) untuk melakukan tindakan pencucian untuk menyamarkan dan menyembunyikan identitas pelaku tindak pidana. Oleh karenanya Pemerintah dalam hal ini mewajibkan semua Perseroan Terbatas untuk menyampaikan data Pemilik Manfaat dengan mengeluarkan Peraturan Presiden Nomor 13 Tahun 2018 tentang Penerapan Prinsip Mengenali Pemilik Manfaat dari Korporasi dalam rangka pencegahan dan pemberantasan Tindak Pidana Pencucian Uang dan Tindak Pidana Pendanaan Terorisme. Dalam penelitian ini, penulis akan menganalisa mengenai proses pengambilalihan (akuisisi) dalam perseroan terbatas dalam hubungannya dengan pemilik manfaat dan mengenai peran Notaris dalam pengambilalihan (akuisisi). Penelitian ini ingin mengetahui apakah suatu pemindahan hak atas saham yang mengakibatkan terjadinya perubahan pengendali, tetapi Pemilik Manfaatnya tidak berubah atau sama, dapat dikategorikan sebagai pengambilalihan (akuisisi). Dari hasil penelitian tersebut, dapat disimpulkan bahwa antara dalam pemindahan hak atas saham yang mengakibatkan terjadinya proses pengambilalihan (akuisisi) namun Pemilik Manfaatnya sama, jika ditinjau dari Undang-Undang Perseroan Terbatas, tetap dikategorikan sebagai proses pengambilihan (akuisisi) / Limited Liability Company are very important and strategic to move and boost the wheels of the economy in Indonesia. Along with the times that are accompanied by technological advances, economic actors are required to continue to be able to find constructive ideas and ideas in order to maintain the existence of their company. One of the corporate actions undertaken is the acquisition. As a result of the acquisition, there is a change in control in the company which is taken over. However, there are Limited Liability Companies in Indonesia where the owner of the Company is not known, as a result the Company can be used as a corporate vehicle to carry out laundering actions to disguise and hide the identity of the perpetrator of the crime. Therefore, the Government in this case requires all Limited Liability Companies to submit data on Beneficiaries by issuing Presidential Regulation Number 13 of 2018 concerning the Application of the Principles of Recognizing Beneficial Owners of Corporations in the context of preventing and eradicating the Crime of Money Laundering and Terrorism Financing Crimes. In this study, the author will analyze the process of takeover (acquisition) in a limited liability company in relation to the beneficial owner and regarding the role of the notary in the takeover (acquisition). This study wants to find out whether a transfer of rights over shares which results in a change in the controller, but the Beneficiary does not change or is the same, can be categorized as an acquisition. From these result, it can be concluded that between the transfer of rights to shares which resulted in the acquisition process but the Beneficiary is the same, if viewed from the Limited Liability Company Law, it is still categorized as an acquisition process.
