Abstract

Holding company diharapkan akan dengan signifikan menumbuhkan peningkatan kinerja ekonomi perusahaan sehingga dapat mencetak laba ataupun keuntungan yang lebih besar yang kemudian akan bermuara pada kesejahteraan baik stakeholder ataupun shareholder. BUMN yang kemudian digabungkan akan menjadikan mereka lebih ekspansif secara eksternal yang berujung pada luasnya jangkauan pasar (market share) yang berdampak pada mewujudkan iklim kompetisi yang lebih sehat serta dapat menekan bahkan mengurangi komponen biaya (cost) dari persaingan yang tidak sehat yang kemungkinan terjadi sebelum adanya pembentukan holding. Penelitian yuridis normatif ini dimaksudkan agar segala upaya yang dilakukan oleh negara seperti pembuatan regulasi atau kebijakan yang bersinggungan dengan masyarakat akan bermanfaat untuk masyarakat luas. Karena dengan adanya holding mempunyai tujuan agar BUMN sektor perbankan dan jasa keuangan dapat melakukan sinergi sehingga "dpt memberi manfaat yg lebih besar bagi shareholder dan stakeholders" dan berkembang dalam skala nasional ataupun internasional Namun demikian, seiring dengan perkembangan holding company di Indonesia, aturan-aturan yang ada saat ini sudah tidak lagi dapat mengakomodir dan memberikan batasan yang jelas. Hal ini tercermin misalnya pada kekuasaan induk perusahaan kepada anak perusahaan dan masih kurang tegas dalam membahas lebih dalam tentang inisiasi pembentukan holding/ holding sektoral. Pembentukan Holding BUMN sektor ini harus dilakukan dan segera dibuatkan peraturan perundang-undangan yang relevan, mengingat Peraturan Pemerintah No 72 Tahun 2016 hanyalah merupakan perubahan atas beberapa Pasal dari Peraturan Pemerintah No 44 tahun 2005 tentang Tata Cara Penyertaan dan Penatausahaan Modal Negara pada Badan Usaha Milik Negara dan Perseroan Terbatas yang mana peraturan pemerintah tersebut belum mengatur tentang mekanisme konkrit tentang pembentukan holding/Holding companies are expected to significantly increase the company's economic performance so that they can generate profits or greater profits which will then lead to the welfare of both stakeholders and shareholders. Because the existence of holding has the aim that SOEs in the banking and financial services sector can synergize so that "can provide greater benefits for shareholders and stakeholders" and develop on a national or international scale However, along with the development of holding companies in Indonesia, the existing regulations are no longer able to accommodate and provide clear boundaries. This is reflected, for example, in the power of the parent company to its subsidiaries and the lack of clarity in discussing the initiation of sectoral holding / holding. The formation of SOEs Holding in this sector must be carried out and relevant laws and regulations are made immediately, considering that Government Regulation No. 72 of 2016 is only an amendment to several articles from Government Regulation No. 44 of 2005 concerning Procedures for Participation and Administration of State Capital in State-Owned Enterprises and Limited Liability Companies in which the government regulation does not yet regulate a concrete mechanism regarding the formation of a holding.
