Abstract

Perjanjian berkembang pesat saat ini sebagai konsekuensi dari berkembangnya kerja sama bisnis antar pelaku bisnis. Banyak kerja sama bisnis yang dilakukan dalam bentuk kontrak atau perjanjian tertulis. Kontrak atau perjanjian tertulis tidak bisa dipisahkan dalam kegiatan perkembangan bisnis properti yang semakin membuat kompleksnya masalah dalam transaksi yang berkaitan dengan usaha atau bisnis properti. Semakin banyak variasi dan model transaksi yang terjadi sehingga berpengaruh juga terhadap implikasi perjanjiannya serta dampak dibelakang harinya, karena tidak dapat dipungkiri sebelum menjalankan kerja sama antar para pihak dipastikan adanya perjanjian tertulis untuk mengetahui hak dan kewajiban para pihak yang membuatnya.Untuk mengamankan kepentingan para pelaku usaha dan pembeli dari kemungkinan terjadinya wanprestasi dari para pihak yang terkait diperlukan adanya pedoman perjanjian pengikatan jual beli rumah susun. Objek perjanjian dalam kasus ini berupa 104 Unit apartemen milik PT. Prioritas Land Indonesia selaku developer yang dipesan oleh PT. Royal Premier Internasional selaku pembeli. Berdasarkan penjelasan diatas penulis merumuskan masalah; bagaimana hak dan kewajiban antara PT. Prioritas Land Indonesia dengan PT. Royal Premier Internasional dalam kaitannya dengan pembuatan Perjanjian Pengikatan Jual Beli Satuan Rumah Susun Secara Kolektif ? dan bagaimana proses penyelesaian perkara antara PT. Prioritas Land Indonesia melawan PT. Royal Premier Internasional berdasarkan Putusan Pengadilan Negeri Tangerang No. 635/PDT G/2014/PN. TNG ?. Tujuannya adalah untuk menggambarkan hak dan kewajiban yang seimbang antara kedua belah pihak dalam hukum perjanjian di dalam Perjanjian Pengikatan Jual-Beli satuan rumah susun secara kolektif dan apa akibat hukum apabila salah satu pihak melakukan wanprestasi. Metode penelitian yang digunakan penulis dalam penelitian ini adalah metode penelitian hukum normatif. Kesimpulan dalam penelitian ini adalah Perjanjian Pengikatan Jual Beli Secara Kolektif yang dilakukan antara PT. Prioritas Land Indonesia dengan PT. Royal Premier Internasional merupakan perjanjian yang salah satunya mengatur hak dan kewajiban yang telah disepakati tersebut tidak dijalankan oleh PT. Royal Premier Internasional. Dengan demikian PT. Prioritas Land Indonesia selaku pihak pertama yang di rugikan mengajukan gugatan secara perdata atas perbuatan wanprestasi yang dilakukan oleh PT. Royal Premier Internasional yang hasil putusannya menyatakan bahwa tergugat PT. Royal Premier Internasional terbukti secara sah dan menyakinkan telah melakukan wanprestasi / Agreement is now growing rapidly as a consequence of business cooperation development between business parties. Many business operation carried out in the form of contract or written agreement. Contract or written agreement can not be separated in property business development activities resulted in an increasingly complex problem of transactions related to business or property business. The more variations and model of transactions that occur with the result that the implications of the agreement will be effected and the impact after it, because it can not be denied, before operating a business the parties should be ensured that there is an agreement to determine the rights and obligations of the parties who made it. To secure the interest of the businessman and buyers from the possibility to breach of contract from the relevant parties, they need a binding agreement of sale and purchase of the apartment. The objects in this case are 104 units apartment owned by PT. Prioritas Land Indonesia as the developer ordered by PT. Royal Premier Internasional as buyer. Based on the explanation above, the writer formulate the problems as follows; how is the rights and obligations between PT. Prioritas Land Indonesia with PT Royal Premier Internasional in connection with the sale and purchase collective agreement of units of the apartment? And how is the settling disputes process between PT. Prioritas Land Indonesia with PT. Royal Premier Internasional based on Tangerang District Court verdict No.635/PDT G/2014/PN. TNG? The purpose is to discribe the balance of rights and obligations between the parties in the contract law in the sale and purchase collective agreement of units of the apartment and what is the legal consequences as one of the party in breach of contract. The research method used by writter is normative legal research method. The conclusion of this research are as follows; the sale and purchase collective agreement of units of the apartment conducted by PT. Prioritas Land Indonesia with PT. Royal Premier Internasional is an agreement regulating the rights and obligations, but in practice the rights and obligations that have been agreed by parties are not executed by PT. Royal Premier Internasional Thus PT. Prioritas Land Indonesia as the injured party filed a civil lawsuit based on event of default which is conducted by PT. Royal Premier Internasional and the result of its verdict stating that the defendant PT. Royal Premier Internasional has proven legally and convincingly been in default.
