Abstract

Penanaman modal di era globalisasi tidak dapat dipisahkan dari rangkaian perjanjian- perjanjian internasional, dimana Indonesia telah ikut serta melibatkan diri didalamnya. Joint venture agreement dalam rangka penanaman modal asing di Indonesia adalah langkah awal untuk membentuk sebuah perusahaan patungan (joint venture company) yang diharuskan bagi investor asing yang merencanakan berinvestasi di Indonesia. Suatu perusahaan penanaman modal asing selain tunduk pada Undang-undang No. 25 Tahun 2007 Tentang Penanaman Modal, juga harus tunduk kepada Undang-undang No. 40 Tahun 2007 Tentang Perseroan Terbatas beserta seluruh peraturan pelaksananya. Adapun permasalahan yang akan dibahas dalam penelitian ini adalah mengenai peran notaris yang sangat besar yaitu dalam pembuatan akta otentik yaitu anggaran dasar perseroan terbatas. Dasar dari pembuatan anggaran dasar itu sendiri adalah Joint venture agreement yang dibuat oleh para investor. Joint venture agreement sebagai dasar dari anggaran dasar perseroan terbatas perusahaan modal asing yang disusun oleh notaris. Selain membuat akta otentik, peran notaris lainnya adalah memberikan penyuluhan dan membantu investor dalam pegurusan ijin prinsip ke BKPM. Penelitian ini adalah penelitian yuridis normatif yang bersifat preskriptif. Penelitian hukum normatif dalam penelitian ini menggunakan data sekunder berupa bahan hukum yang diperoleh melalui studi kepustakaan dan menekankan pada langkah-langkah teoritis dan analisis normatif. / Investment in globalization era is inseparable from international agreements where Indonesia is a party. A Joint venture agreement for purpose of foreign investment in Indonesia is an initial step for incorporating a joint venture company which is obliged for any foreign investor that plans making investment in Indonesia. Any foreign investment company other than required to comply with Law No. 25 of 2007 on Investment, it shall be required to comply with Law No. 40 of 2007 on Limited Liability Company and any and/or all implementation regulation thereof. Whereas, problem for discussion in this study is significant role of notary in generating authentic deed that is the company’s article of associations. Basis of drawing up these article of associations is a joint venture agreement made by investor. This joint venture agreement is basis of the article of associations of Foreign Investment Company drawn up by notary. Besides, notary also plays role in giving explanation and helping investor in arranging principle permit to the Investment Coordinating Board (BKPM). This study is a normative jurisdiction study which is prescriptive in nature. Normative legal study in this study uses secondary data in the form of legal materials obtained through library study and emphasizing to theoretical steps and normative analysis.
