Abstract

Notaris sebagai pejabat umum, bertugas menjamin kepastian, ketertiban dan perlindungan hukum melalui akta autentik yang dibuat oleh dan atau di hadapannya. Dalam menjalankan tugasnya, notaris harus bisa menganalisis suatu peristiwa hukum dan mencari solusi atas permasalahan hukum. Pemindahan hak atas saham oleh kurator melalui lelang adalah peristiwa hukum yang pelaksanaanya belum diatur dalam peraturan hukum tersendiri, sehingga di dalam pelaksanaannya terdapat benturan asas hak memesan saham terlebih dahulu dengan asas kompetisi. Untuk dapat menganalisis peristiwa hukum tersebut, dibuatlah penelitian hukum normatif ini dengan menggunakan pendekatan konsepsual (conceptual approach) dan pendekatan undang-undang (statute approach). Data yang dikumpulkan berasal dari bahan hukum primer, sekunder dan tersier disamping juga wawancara secara Non-probability Sampling dengan teknik focus group discussion. Pertentangan asas kompetisi dengan asas hak memesan saham terlebih dahulu dalam jual beli saham secara lelang merupakan suatu konsekuensi hukum yang terjadi akibat adanya benturan dua aturan (UUPT dan Undang-undang Kepailitan) dalam satu peristiwa hukum. Dalam pemindahan hak atas saham oleh kurator, jual beli saham secara lelang lebih diterapkan dari pada jual beli saham secara individu. Mengingat koridor hukum yang sedang berjalan adalah hukum kepailitan, maka sesuai dengan asas lex specialis derogate lex generalis, undang- undang yang bersifat khusus (Undang-undang Kepailitan) mengesampingkan undang-undang yang bersifat umum (UUPT) dalam peristiwa hukum yang sama (pemindahan hak atas saham). Peranan notaris dalam pemindahan hak atas saham oleh kurator melalui lelang hanya sebatas pada wewenang untuk membuat akta autentik tanpa dapat berperan sebagai pejabat lelang kelas II. Saran dalam penelitian ini adalah perlunya dibuat aturan secara tersendiri mengenai pemindahan hak atas saham oleh kurator melalui lelang dalam UUPT mendatang. Sehingga diharapkan tidak ada keraguan lagi mengenai penggunaan risalah lelang atau turunannya sebagai dasar pemindahan hak atas saham / Notary as a public official is in duty to guarantee the legal certainty, orderliness and protection through the authentic deed that is made by him and before him. Working on his job, a notary should be able to analyze the legal events and to find solutions for the legal issues. Stock assignment by curator through an auction is a legal event that the implementation is not regulated in a separate legal regulation, as of in the implementation, there is a conflict between the principle right of stock preordered with the competition principle. In order to be able to analyze the legal event, the normative legal research is created by using conceptual approach and statute approach. The collected data comes from primary, secondary and tertiary legal materials, also by Non-probability Sampling interview with focus group discussion technique. The conflict between the competition principle with the right of stock preordered principle through the stock exchange auction is a legal consequence that happened as the result of the clash of two rules (BAL and Insolvency Act) in a legal event. In a stock assignment by curator, the auction stock exchange is more applied for the individual stock exchange. Considering the ongoing legal corridor is insolvency law, then in accordance with the principle of lex specialis derogate lex generalis, the specific law (Insolvency Law) override the general law (Company Law) in the same law event (stock assignment). The role of a notary in stock assignment by curator trough auction is merely limited in the authority to make authentic act without authority as the 2nd class of auction official. Suggestions in this research is the need to created rules separately regarding the stock assignment by curator through an auction in the coming Company Law. It is hoped that there is no doubt regarding the use of the treatise of the auction or its derivatives as the basis for the stock assignment
