Abstract

This research uses normative legal study to analyze the exist fundamental problems, which linked to the applicable law regulation based on legal sources including variety of statute, secondary legal sources such as the opinion of expert and the reference related by conducting interviews from reliable sources. The implementation of the credit system as a club deal in Indonesia is done by making a credit agreement between each club deal participants with the debtor on a bilateral basis with mortgage guarantee. Mortgage is a collateral right that encumber a right over land, including other property which forms part of the land for the repayment of a debt. If the debtor defaults, the lender may be able to sell the property to recover the debt. To bind the mortgage value, collateral given by debtor to the bank, would conducted with the Mortgage Deed (APHT). In the club deal credit system, each participant bank share the collateral with another lender. Therefore, if the customer defaults, the collateral sharing will be shared through pari passu and pro rata basis, in accordance to the ratio of the loan value which should be paid by the debtor In addition to mortgage guarantee, the club deal participant would appoint a representative bank as a security agent through a collateral sharing agreement to give legal certainty on the repayment of the credit facility has been granted by the debtor to the bank. It can mitigate potential conflicts that may occur between the bank incorporated in the system lending system club deal. / Penelitian ini menggunakan penelitian hukum normatif untuk menganalisis pokok permasalahan yang ada, yang dikaitkan dengan peraturan hukum yang berlaku berdasarkan sumber hukum mencakup berbagai peraturan perundang-undangan, sumber hukum sekunder seperti pendapat para ahli dan referensi terkait dengan melakukan wawancara dari narasumber terpercaya. Pelaksanaan sistem kredit secara club deal di Indonesia dilakukan dengan membuat suatu perjanjian kredit oleh masing-masing bank peserta club deal dengan nasabah secara bilateral dengan jaminan berupa hak tanggungan atas tanah. Hak jaminan yang dibebankan pada hak atas tanah, termasuk benda- benda lain yang merupakan satu kesatuan dengan tanah itu atau tidak, untuk pelunasan hutang tersebut. Untuk mengikat jaminan berupa tanah yang diberikan oleh nasabah kepada bank akan diikat dengan pembebanan Akta Pembebanan Hak Tanggungan (APHT). Dalam sistem kredit club deal, para bank peserta saling berbagi jaminan dengan kreditur lainnya. Untuk itu apabila nasabah wanprestasi, pembagian hasil jaminan antara para kreditur dilakukan atas dasar pari passu dan secara pro rata, sesuai dengan perbandingan antara besarnya jumlah hutang yang wajib dibayar oleh nasabah kepada setiap bank berdasarkan perjanjian kredit. Selain hak tanggungan, para bank peserta club deal akan menunjuk bank perwakilan sebagai agen jaminan melalui perjanjian pembagian jaminan untuk memberikan kepastian hukum atas pelunasan fasilitas kredit debitur ke bank. Hal ini dapat meminimalisir potensi konflik yang mungkin terjadi antara bank yang tergabung dalam sistem pemberian kredit secara club deal.
