Abstract

Otoritas Jasa Keuangan, hereinafter abbreviated as OJK, is an independent institution free from the interference of other parties, which has the functions, duties and authority of the regulation, supervision, inspection and investigation as referred to in the OJK Law. OJK can be interpreted as a financial institution that one of its duties is to supervise the capital market. Supervision conducted by OJK in the field of capital market one of them is on the supporting profession. One of the roles of the supporting profession that is desperately needed is a notary. Notary pursuant to Article 1 Sub-Article 1 of the UUJN is a public official authorized to make authentic deeds and other powers as required by this law. The role of a notary is required in the issuance of securities. In the share issuance, the notary plays a role in making the deed of amendment of the issuer's issuing articles and if desired by the issuers, the notary also plays a role in the issuance of the underwriting agreement, the agreement between the securities underwriter and the dealer agreement. In the capital market, the role of OJK is required especially in the supervision so that every case that occurs in the capital market can be subject to sanctions in accordance with violations that occur in the capital market. In running its role OJK can not by itself conduct supervision, but requires other professions that are in the capital market, one of which notary. The role of a notary in relation to the preparation of the articles of association of capital market actors, such as issuers, public companies, securities companies, and mutual funds, and the making of important contracts such as mutual fund contracts, underwriters contracts and trustees. / Otoritas Jasa Keuangan, yang selanjutnya disingkat OJK, adalah lembaga yang independen dan bebas dari campur tangan pihak lain, yang mempunyai fungsi, tugas, dan wewenang pengaturan, pengawasan, pemeriksaan, dan penyidikan sebagaimana dimaksud dalam UU OJK. OJK bisa diartikan sebagai sebuah lembaga keuangan yang salah satu tugasnya adalah melakukan pengawasan terhadap pasar modal. Pengawasan yang dilakukan oleh OJK di bidang pasar modal salah satunya adalah pada profesi penunjang. Salah satu peranan profesi penunjang yang sangat dibutuhkan adalah notaris. Notaris menurut Pasal 1 angka 1 UUJN adalah pejabat umum yang berwenang untuk membuat akta otentik dan kewenangan lainnya sebagaimana yang dimaskud dalam undang-undang ini. Peranan notaris diperlukan dalam emisi efek. Dalam emisi saham, notaris berperan dalam membuat akta perubahan anggaran dasar emiten dan apabila diinginkan oleh para emiten, notaris juga berperan dalam pembuatan perjanjian penjaminan emisi efek, perjanjian antarpenjamin emisi efek dan perjanjian agen penjual. Dalam pasar modal, Peranan OJK diperlukan terutama dalam pengawasan agar setiap kasus yang terjadi di pasar modal dapat dikenakan sanksi yang sesuai dengan pelanggaran yang terjadi di pasar modal. Dalam menjalankan peranannya OJK tidak dapat dengan sendirinya melakukan pengawasan, melainkan membutuhkan profesi lain yang berada di pasar modal, salah satunya notaris. Peranan notaris dalam hubungannya dengan penyusunan anggaran dasar para pelaku pasar modal, seperti emiten, perusahaan publik, perusahaan efek, dan reksa dana, serta pembuatan kontrak-kontrak penting seperti kontrak reksa dana, kontrak penjamin emisi, dan perwaliamanatan.
