Abstract

Dalam rangka meningkatkan pembangunan ekonomi, salah satu pilar pendukungnya yaitu Undang-Undang Perseroan Terbatas UUPT yang dapat menjamin terselenggaranya iklim dunia usaha yang kondusif, karenanya menjadi harapan semua pelaku ekonomi atau khalayak umum, bahwa UUPT selain memiliki tujuan dan berprinsip pengelolaan perusahaan yang baik (good corporate governance) untuk meningkatkan pelayanan yang cepat dan memiliki kepastian hukum dan diwajibkan Perseroan Terbatas melakukan penyesuaian Anggaran Dasar. Untuk badan hukum penting eksistensi status Perseroan Terbatas. diperlukan penelitian mengenai implementasi penyesuaian Anggaran Dasar, serta analisis studi kasus atas implementasi penyesuaian Anggaran Dasar. Dalam penelitian ini, pengumpulan data dilakukan dengan menggunakan Pendekatan yuridis normatif-empiris yang digunakan dalam penelitian ini adalah pendekatan Perundang-undangan dan juga pendekatan kasus, yaitu dengan mewawancarai langsung dan menganalisa putusan pengadilan Tata Usaha Negara yang telah berkekuatan hukum tetap. Dari hasil penelitian tersebut, dapat disimpulkan bahwa ketentuan mengenai implemenasi penyesuaian Anggaran Dasar perseroan terbatas dan peranan notaris dalam mengatasi kendala proses penyesuaian Anggaran Dasar perseroan terbatas / In framework to expand the economic development, one of the pillars of his supporters the act of limited liability UUPT can guarantee the implementation of business climate conducive, therefore hope all economic players or just general readers, that UUPT although the objectives and principled good corporate management (good corporate governance) to improve the service that is quick and having legal certainty and required limited company adapt the articles of association. Of this research, we can conclude that provisions on implementation adjustment the company articles of association limited and notary role in reducing the the process of adjusting the company articles of association limited.
