Abstract

Good Corporate Governance (GCG) adalah etika. Pada awalnya, penerapan prinsip- prinsip GCG oleh suatu perusahaan didasarkan pada kesadaran dan kemauan perusahaan tersebut. Hanya saja, menyadari betapa pentingnya masalah penerapan GCG ini, banyak Negara yang menjadikan prinsip-prinsip GCG sebagai acuan dalam membentuk hukum perusahaan di negaranya masing-masing, termasuk Indonesia. Notaris, sebagai pejabat umum yang kewenangan utamanya adalah membuat akta autentik, juga sebagai salah satu profesi penunjang pasar modal memiliki peran yang penting dalam memastikan bahwa prinsip-prinsip GCG yang telah dikuatkan dalam peraturan perundangan di Indonesia diterapkan oleh perusahaan-perusahaan yang akan melakukan go public dalam anggaran dasarnya. Dalam penelitian ini, yang diangkat menjadi permasalahan adalah bagaimana prinsip- prinsip GCG dikuatkan dalam peraturan perundangan di Indonesia dan peranan apa yang dapat dilakukan oleh notaris dalam mendukung penerapan prinsip-prinsip GCG khususnya bagi perusahaan go public. Dalam penelitian ini, pengumpulan data dilakukan dengan menggunakan pendekatan Perundang-undangan dan juga pendekatan konseptual. Dari hasil penelitian tersebut, dapat disimpulkan bahwa prinsip-prinsip GCG yaitu Transparency, Accountability, Responsibility, Independency dan Fairness telah dikuatkan dalam berbagai peraturan perundangan yang membentuk hukum perusahaan di Indonesia. Untuk itu, notaris yang salah satu kewenangannya adalah membuat akta perubahan anggaran dasar perseroan yang akan go public, wajib memiliki penilaian professional (professional judgment), apakah anggaran dasar suatu perseroan yang akan go public tersebut telah sejalan dengan prinsip-prinsip GCG yang telah dikuatkan oleh peraturan perundangan yang ada atau belum / Good Corporate Governance (GCG) is an ethic. The implementation of the GCG principles by a company was based on the awareness and willingness of such company. Just be aware of how important this GCG issue, many countries are making good corporate governance principles as a reference in shaping the law in their respective countries, including Indonesia. Notary as a public official whose primary authority is to make authentic deed, as well as one of the supporting professions of capital markets has an important role in ensuring that GCG principles that have been upheld in Indonesian regulations applied by the companies that will go public in their articles of association. In this study, the highlighted issues are how the corporate governance principles upheld in law in Indonesia and what role can be played by a notary public in support of the implementation of the principles of good corporate governance, especially for companies going public. In this study, data collection is done by using the approach of legislation and conceptual approach. From these results, it can be concluded that the principles of good corporate governance, namely Transparency, Accountability, Responsibility, independency and fairness has been strengthened in various laws and regulations that form the company law in Indonesia. To that end, the notary whose one of his authority is to make the deed of amendment to the articles of association of the company that will go public, must have a professional judgment, whether the articles of association of a company going public has been in line with the principles GCG principle that has been strengthened by the existing legislation or not
