Abstract

Pasar modal merupakan bagian dari sektor keuangan yang telah ada di Indonesia sejak zaman Pemerintahan Hindia Belanda. Kehadiran pasar modal ini sendiri merupakan instrumen ekonomi yang sangat berdampak bagi perkembangan perekonomian di Indonesia. Adapun cara kerja dari pasar modal adalah dengan memanfaatkan kepentingan pelaku pasar modal yang secara timbal balik. Pelaku- pelaku dalam kegiatan pasar modal itu sendiri adalah perusahaan dan orang- perorangan yang memiliki kepentingan yang sama yaitu untuk mendapatkan keuntungan. Perusahaan yang ingin mengembangkan usahanya dan atau ingin meningkatkan eksistensi perusahaannya mendapatkan dana segar dari pihak yang memiliki kelebihan dana, sehingga terjadi simbiosis mutualisme yaitu adanya tambahan dana yang diperoleh untuk membiayai pengembangan usaha dan di sisi lain kelebihan dana tersebut dikelola sehingga menghasilkan nilai tambah. Kesempatan inilah yang dimanfaatkan oleh para pelaku pasar modal untuk mendapatkan keuntungannya. Kegiatan ini bisa dilakukan melalu Initial Public Offering (Penawaran Perdana) maupun Perusahaan yang sudah Tbk (Penawaran Sekunder). Pelaksaan kegiatan dalam pasar modal ini, khususnya dalam proses go public suatu perusahaan tidak dapat terlepas dari peran pelaku penunjang pasar modal. Notaris merupakan salah satu pelaku penunjang di pasar modal. Kegiatan yang dilakukan notaris dalam pasar modal begitu banyak, sehingga tidak bisa dipungkiri bahwa adakalanya pekerjaan notaris menjadi terbengkalai, dan untuk itu peran notaris pengganti di bidang pasar modal dibutuhkan untuk memenuhi pekerjaan yang terbengkalai tersebut. Pengaturan terhadap notaris pengganti dalam pasar modal secara implisit belum diatur secara jelas, namun secara eksplisit bisa dilihat melalui Undang-Undang Jabatan Notaris mengenai Notaris Pengganti dan Undang-Udang Pasar Modal mengenai Notaris sebagai Profesi Penunjang Pasar Modal. Untuk itu perlu dilakukan pemahaman dan penelitian secara mendalam baik secara teori maupun praktek mengenai peran dan tanggung jawab notaris pengganti dalam kegiatan dunia pasar modal terkhusus dalam kegiatan go public suatu perusahaan, sehingga kegiatan pasar modal dapat berjalan baik dan berdampak bagi pertumbuhan ekonomi yang semakin positif di Indonesia / Capital market is part of financial sector that has been in existence in Indonesia since the time of the Dutch East Indies Government. The presence of the capital market itself is as an economic instrument that greatly affects the economic development in Indonesia. The concept of the capital market is to capitalize on the interests of every capital market’s stakeholder. The stakeholders in the capital market activities themselves are companies and individuals who have same interest which is to gain profit. Companies that want to expand their businesses and/or want to increase their companies' existence receive fresh funds from parties that have surplus funds, so that a symbiotic mutualistic relationship occurs; that is additional funds obtained to finance business development and also the management of excess funds to acquire added value. This opportunity is utilized by players in the capital market to obtain the benefits. This activity can be done through Initial Public Offering or companies that have been already limited companies via secondary offering. The implementation of activities in capital market, especially in the process of going public cannot be separated from the role of capital market supporting actors. A notary is one of the supporting actors in the capital market. The activities of the notary in the capital market are numerous. It is undeniable that sometimes the work of a notary becomes neglected, and therefore the role of a substitute notary in the field of capital markets is required to fulfill the abandoned work. Implicitly, the regulation of a substitute notary in the capital market is not yet clearly regulated, but explicitly it can be seen in the Notary Public Law regarding substitute notary and Capital Market Law concerning Notary as capital market supporting professional. Therefore, it is necessary to have deep understanding and research both in theoretical and practical aspects about the roles and responsibilities of a substitute notary in the activities of capital market world, especially in the go public process of a company, so that the capital market activities can run well and have positive impacts for economic growth in Indonesia
