Abstract

Pengaturan pewarisan saham yang tidak begitu jelas dalam Undang-undang No.40 Tahun 2007 tentang Perseroan Terbatas, tidak sejelas sebagaimana pemindahan saham karena jual beli mengakibatkan proses pewarisan saham dapat disalahgunakan melalui forum Rapat Umum Pemegang Saham Luar Biasa (RUPSLB). Penggunaan forum RUPSLB untuk melakukan pemindahan atau pembagian saham karena pewarisan ini dapat mengakibatkan persoalan hukum apabila tidak tuntas, mengenai siapa saja yang berhak atas harta peninggalannya si pewaris. Harta peninggalan tersebut dapat saja masih menyisakan persoalan mengenai harta bersama yang belum dibagi dari mantan istri si pewaris yang telah dicerai hidup sebagaimana yang terjadi dalam studi kasus yang diambil dalam penelitian ini. Penelitian ini bertujuan untuk: (1) mengkaji dan menganalisis keabsahan dari peralihan saham perseroan terbatas karena pewarisan yang dilakukan tanpa persetujuan dari seorang istri pewaris yang telah bercerai; dan (2) mengetahui dan menganalisis kekuatan hukum dari akta notaris tentang pernyataan keputusan RUPSLB perseroan terbatas yang melakukan pembagian saham kepada para ahli waris tanpa memperhatikan pembagian harta bersama dari seorang istri pewaris yang telah bercerai. Dari hasil penelitian tersebut, disimpulkan bahwa: (1) peralihan saham perseroan terbatas karena pewarisan yang dilakukan tanpa persetujuan dari seorang istri pewaris yang telah bercerai adalah tidak sah dan dapat dipermasalahkan secara hukum; dan (2) akta notaris tentang pernyataan keputusan RUPSLB perseroan terbatas yang melakukan pembagian saham kepada para ahli waris tanpa memperhatikan pembagian harta bersama dari seorang istri pewaris yang telah bercerai merupakan perbuatan melawan hukum. Maka, akta notaris tersebut batal demi hukum atau tidak memiiki kekuatan hukum mengikat./ The regulation of share inheritance is not very clear in Law No. 40 of 2007 concerning Limited Liability Companies. It is not as clear as the purchase and sell of share. The transfer of share by inheritance can be abused by the heirs through the Extraordinary General Meeting of Shareholders (EGMS) forum. The use of the EGMS forum to transfer or distribute shares due to this inheritance can result in legal problems, if not resolved, regarding who is entitled to the inheritance of the heir. The inheritance may still leave problems regarding the joint marital property that has not been divided from the ex-wife of the heir who has been divorced, as happened in the case studies taken in this study. This study aims to: (1) examine and analyze the validity of the transfer of shares of a limited liability company because the inheritance was carried out without the consent of the divorced wife of the testator; and (2) knowing and analyzing the legal force of the notarial deed of resolutions of general meetings of shareholders which transfer shares to the heirs without considering the joint marital assets of divorced wife of the testator. From the results of the research, it is concluded that: (1) the transfer of shares of a limited liability company due to inheritance carried out without the approval of a divorced wife of the testator is unlawfull and can be legally disputed; and (2) a notarial deed of resolutions of general meetings of shareholders of a limited company that transfer shares to the heirs without considering the joint marital assets of a divorced wife of the testator is null and void also not legally binding.
