Abstract

Direksi dalam menjalankan jabatannya harus senantiasa mengacu pada UUPT dan anggaran Dasar Perseroan, khususnya dalam menjalankan kewajibannya untuk membuat Daftar Pemegang Saham dan Daftar Khusus karena masyarakat tidak mengetahui fungsi penting dari Daftar Pemegang Saham dan Daftar Khusus tersebut. Penelitian ini bertujuan untuk (1) mengetahui dan menganalisis akibat hukum bagi Direksi yang lalai dalam mengadakan dan menyimpan Daftar Pemegang Saham dan Daftar Khusus, (2) unyuk mengetahui dan menganalisis akibat hukum bagi pemegang saham yang namanya tidak tercantum dalam Daftar Pemegang Saham. Penelitian ini menggunakan penelitian hukum normatif dengan pendekatan undang-udang dan pendekatan konseptual. Dari hasil penelitian tersebut, disimpulkan bahwa (1) Akibat hukum yang ditimbulkan jika direksi lalai dalam membuat daftar pemegang saham dan daftar khusus adalah direksi akan dituntut oleh pemegang saham yang merasa dirugikan, (2) Akibat hukum bagi pemegang saham yang namanya tidak tercantum dalam daftar pemegang saham adalah pemegang saham tersebut tidak dapat menghadiri dan mengelurkan suara dalam RUPS, menerima pembayaran dividen dan sisa kekayaan hasil likuidasi, menjalankan hak lainnya berdasarkan undang-undang karena Namanya tidak tercatat dalam Daftar Pemegang Saham Perseroan./ The Board of Directors in carrying out their positions must always refer to the Company Law and the Company's Articles of Association, especially in carrying out their obligations to make a List of Shareholders and a Special List because the public does not know the important function of the List of Shareholders and the Special List. This study aims to (1) identify and analyze the legal consequences for the Board of Directors who are negligent in establishing and keeping the List of Shareholders and Special List, (2) identify and analyze the legal consequences for shareholders whose names are not listed in the List of Shareholders. This study uses normative legal research with a legal approach and a conceptual approach. From the results of the study, it was concluded that (1) The legal consequences that arise if the directors are negligent in making the list of shareholders and special registers are that the directors will be sued by shareholders who feel aggrieved, (2) The legal consequences for shareholders whose names are not listed in the list of shareholders are shareholders are unable to attend and cast votes in the General Meeting of Shareholders, receive dividend payments and the remaining assets resulting from liquidation, exercise other rights based on law because their names are not recorded in the Company's Shareholders Register.
