Abstract

Penelitian ini memiliki dua tujuan: Pertama, untuk mengetahui perikatan hukum yang terjadi antara agen properti PT Peta Property Indonesia dengan penjual properti. Kedua, untuk mengetahui kekuatan hukum perjanjian pemasaran eksklusif yang dibuat oleh agen properti PT Peta Property Indonesia dengan penjual properti dalam pelaksanaan perjanjian agen pemasaran properti. Semua isi perjanjian dijalankan sesuai dengan tujuan para pihak, perjanjian antara penjual properti dan PT Peta Property Indonesia menjadi fokus penelitian ini untuk mencapai tujuan penelitian. Metode Penelitian ini menggunakan penelitian hukum normatif empiris. Penelitian hukum normatif-empiris mengutamakan data sekunder, meliputi bahan hukum primer, bahan hukum sekunder dan bahan hukum tersier. Data sekunder tersebut kemudian dikuatkan atau didukung dengan data primer, berupa interview dengan narasumber terkait dengan permasalahan penelitian. Hasil penelitian ini ada dua berdasarkan permasalahan. Pertama, perikatan hukum antara agen pemasaran PT Peta Property Indonesia dan penjual terjadi ketika penandatanganan perjanjian agen pemasaran. Perjanjian mengikat para pihak yang terlibat, maka timbul hak dan kewajiban didalamnya. Namun dalam implementasinya, isi perjanjian tidak mengandung banyak penjelasan konkret dan memadai mengenai hak dan kewajiban para pihak selain menyebabkan perjanjian yang dibentuk memberi dampak kedudukan antara pihak perusahaan dengan pihak pengguna jasa tidak seimbang, dimana kedudukan pengguna jasa menjadi lemah karena hak pihak pengguna hanya dijelaskan secara lisan tanpa dicantumkan ke dalam perjanjian, hal ini berpotensi menimbulkan persengketaan dikemudian hari. Kedua, kekuatan hukum perjanjian sejalan dengan asas pacta sunt servanda yaitu mengikat para pihak. Tingkat kelengkapan perjanjian dalam klausula menentukan kekuatan perlindungan hukum bagi para pihak. Ketidak lengkapan pengaturan pada perjanjian pemasaran eksklusif PT Peta Property Indonesia jika dibandingkan dengan Peraturan Menteri Perdagangan RI Nomor 51/MDAG/PER/7/2017 melemahkan asas asas pacta sunt servanda terutama kurangnya klausula penyelesaian perselisihan dalam perjanjian yang menyebabkan ketidakjelasan penyelesaian perselisihan antar para pihak./This study has two objectives: First, to determine the legal engagement between the property agent PT Peta Property Indonesia and the property seller. Second, to find out the legal force of exclusive marketing agreement made by PT Peta Property Indonesia with the property seller when the property marketing agent agreement been held. All the contents of the agreement are carried out in accordance with the goals of the parties, the agreement between the property seller and PT Peta Property Indonesia is the main focus of this research to achieve the research objectives. This research method uses an empirical normative legal approach that prioritizes secondary data, including primary legal materials, secondary legal materials and tertiary legal materials. The secondary data then strengthened or supported by primary data, by interviewing the relevant sources according to the research problems. The results of this study are based on two problems. First, the legal engagement between the marketing agent of PT Peta Property Indonesia and the seller occurs occurs when the marketing agency agreement is about to be signed. The agreement binds the parties involved, so there are rights and obligations in it. The contents of the agreement do not contain many concrete and adequate explanations regarding the rights and obligations of the parties so the agreement made the position between the company and the users being unbalanced, which is the positions of the user is weaker than the company, it happens because that the explanations of the user’s rights is just explained in oral way, not written at the contract. That has the potential to cause disputes in the future. Second, The legal force of the agreement is in accordance with the principle of pacta sunt servanda, which is binding on the parties.The level of completeness of the agreement clauses determines the power of legal protection for the parties. The lack of clauses in PT Peta Property Indonesia’s agreement compared to regulation No. 51/MDAG/PER/7/2017 weakens the basic principles of pacta sunt servanda.Especially the lack of dispute settlement clause in the agreement which might causes ambiguity in dispute resolution between the parties.
