Abstract

Backdoor Listing merupakan salah satu aksi korporasi yang dapat dilakukan perusahaan yang ingin mencatatkan sahamnya di bursa efek dan merubah statusnya menjadi perusahaan terbuka. Backdoor listing pada umumnya dapat dilakukan melalui proses Pengambilalihan oleh perusahaan tertutup kepada perusahaan terbuka atau sebaliknya yang menyebabkan perubahan pengendali. Dalam pelaksanaan backdoor listing tersebut diperlukan jasa Notaris sebagai salah satu profesi penunjang pasar modal. Sudah terdapat perusahaan yang melakukan praktik backdoor listing di Indonesia, namun hingga saat ini belum ada peraturan dalam Pasar Modal Indonesia yang mengatur mengenai backdoor listing yang menimbulkan kekosongan hukum. Penelitian ini bertujuan untuk mengetahui bagaimana akibat dari ketiadaan peraturan backdoor listing tersebut dan akibatnya terhadap peran Notaris yang dilakukan dengan menggunakan pendekatan terhadap peraturan terkait dan perbandingan terhadap negara lain. Pada akhirnya dapat disimpulkan bahwa ketiadaan peraturan backdoor listing di Indonesia dapat menjadi celah hukum bagi perusahaan dan kewenangan Notaris yang bergerak di bidang pasar modal menjadi sumir. / Backdoor Listing is one of the corporate actions that can be taken by a company that wants to list its shares on the stock exchange and change its status to a public company. Backdoor listings can generally be carried out through the Takeover process by a private company to a public company or vice versa which causes a change of controller. In the implementation of the backdoor listing, the services of a Notary as one of the supporting professions for the capital market are required. There are already companies that practice backdoor listings in Indonesia, but so far there is no regulation in the Indonesian Capital Market that regulates backdoor listings which creates a legal vacuum. This study aims to find out how the consequences of the absence of the backdoor listing regulations and the consequences for the role of the Notary are carried out using an approach to related regulations and comparisons to other countries. In the end, it can be concluded that the absence of a backdoor listing regulation in Indonesia can be a legal loophole for companies and the authority of a Notary operating in the capital market sector is unclear.
