Abstract

Dewasa ini, perkembangan dunia bisnis dan ekonomi sudah semakin pesat dan perkembangan tersebut membawa pengaruh besar terhadap perusahaan di Indonesia saat ini. Perusahaan-perusahaan yang dapat bertahan merupakan perusahaan yang memiliki tata kelola yang baik dan citra perusahaan yang telah dipercaya oleh masyarakat/publik. Pada kenyataannya, penerapan prinsip Good Corporate Governance (GCG) tidaklah mudah, hal ini tercermin dari kualitas di Indonesia yang masih tergolong rendah. Rendahnya penerapan prinsip Good Corporate Governance (GCG) di perusahaan mengakibatkan munculnya kasus-kasus yang menimbulkan kerugian bagi beberapa pihak. Salah satu kasusnya adalah mengenai pelanggaran investasi yang dilakukan oleh PT Minna Padi Aset Manajemen. Tujuan penelitian ini adalah untuk mengidentifikasi implementasi prinsip-prinsip Good Corporate Governance (GCG) pada PT Minna Padi Aset Manajemen ditinjau dari Undang-Undang Nomor 40 Tahun 2007 tentang Perseroan Terbatas dan menganalisis akibat hukum apabila tidak diterapkannya prinsip tersebut di PT Minna Padi Aset Manajemen. Metode penelitian yang digunakan di dalam penulisan skripsi ini adalah menggunakan metode yuridis normatif yang bersifat kualitatif (normatif-kualitatif), yaitu metode penelitian hukum penelitian yang mengacu pada norma hukum yang terdapat dalam peraturan perundang-undangan, dalam hal ini prinsip Good Corporate Governance (GCG) di dalam Undang-Undang Nomor 40 Tahun 2007 tentang Perseroan Terbatas yang akan menjadi dasar yuridis terkait kasus pelanggaran investasi. Berdasarkan hasil penelitian ini, dapat disimpulkan bahwa PT Minna Padi Aset Manajemen belum menerapkan prinsip-prinsip Good Corporate Governance (GCG) yakni prinsip transparansi, akuntabilitas, pertanggungjawaban, dan kesetaraan dalam kegiatan bisnisnya sehingga organ perusahaan dalam PT Minna Padi Aset Manajemen memiliki kewajiban untuk memberikan ganti kerugian kepada para nasabahnya. / Today, the development of the business world and the economy is increasingly rapid and these developments have had a major impact on companies in Indonesia today. Companies that can survive are companies that have good governance and a company image that has been trusted by the public. In reality, the application of the principles of Good Corporate Governance (GCG) is not easy, this is reflected in the quality in Indonesia which is still relatively low. The low implementation of the principles of Good Corporate Governance (GCG) in the company resulted in the emergence of cases that caused losses to several parties. One of the cases is regarding investment violations committed by PT Minna Padi Asset Management. The purpose of this study is to identify the implementation of the principles of Good Corporate Governance (GCG) at PT Minna Padi Aset Manajemen in terms of Law Number 40 of 2007 concerning Limited Liability Companies and to analyze the legal consequences if these principles are not applied at PT Minna Padi Aset Manajemen. The research method used in writing this thesis is to use a normative juridical method that is qualitative (normative-qualitative), namely the legal research method of research that refers to the legal norms contained in the legislation, in this case the principles of Good Corporate Governance (GCG). ) in Law Number 40 of 2007 concerning Limited Liability Companies which will be the juridical basis for cases of investment violations. Based on the results of this study, it can be concluded that PT Minna Padi Aset Manajemen has not implemented the principles of Good Corporate Governance (GCG), namely the principles of transparency, accountability, responsibility, and equality in its business activities so that the company's organs in PT Minna Padi Aset Manajemen have an obligation to provide compensation to its customers.
