Abstract

The purpose of this research is to find out the role of Notaries in the licensing of Limited Liability Companies through Online Single Submission, as well as to find out the obstacles faced by Notaries in the licensing of Limited Liability Companies through Online Single Submission. This research method uses a type of research that is normative empirical by analyzing legal norms and social environments that have a relationship with problems. The data sources used are primary data obtained through interviews and secondary data obtained from library materials. The method of collecting research data is carried out with interview techniques that have a relationship with the problem. The type of research approach used is an approach to legal cases is research that analyzes primary data and secondary data. The data collected by the author will be analyzed using descriptive data analysis techniques to get answers to problems. The results of this study show that The management of PT licensing through OSS is related to each other, where business actors in the form of legal entities will establish PT and take care of all the needs to obtain a business license, hence the need for a deed of incorporation which is the authority of the Notary and a decree from the Ministry of Law and Human Rights. According to the laws and regulations registering the endorsement of the establishment of a PT into the online AHU system will directly all the data will be connected to the OSS system. The role of notaries in this OSS system will be followed by the authority and responsibilities that must be implemented by the Notary as a whole. Notary as a general official who has the authority to make the Deed of Establishment will have extensive insight and knowledge about business activities located in Indonesia and the obstacles that will be faced by both business actors and notaries in using the OSS application system after its launch are the difficulty in accessing the main portal page on the OSS application system, lack of understanding of business actors related to new information on the website, limitations in accessing the internet in OSS application systems, There are obstacles in the use of standard classification of Indonesian business fields (KBLI), The existence of business actors who do not carry out the fulfillment of commitments, as well as constraints in the selection of business fields in the process of applying for limited liability company licensing./ Tujuan penelitian ini adalah untuk mengetahui peran Notaris dalam perizinan Perseroan Terbatas melalui Online Single Submission, serta untuk mengetahui kendala yang dihadapi oleh Notaris dalam perizinan Perseroan Terbatas melalui Online Single Submission. Metode penelitian ini menggunakan jenis penelitian yang bersifat yuridis normatif empiris yaitu dengan melakukan analisa terhadap norma hukum serta lingkungan sosial yang memiliki kaitan dengan permasalahan. Sumber data yang digunakan adalah data primer yang diperoleh melalui wawancara dan data sekunder yang diperoleh dari bahan pustaka. Metode pengumpulan data penelitian dilakukan dengan teknik wawancara yang memiliki kaitan dengan permasalahan. Jenis pendekatan penelitian yang digunakan ialah pendekatan terhadap kasus hukum adalah penelitian yang menganalisa data primer dan data sekunder. Data yang dikumpulkan oleh penulis akan dianalisis dengan menggunakan teknik analisis data deskriptif untuk mendapatkan jawaban atas permasalahan. Hasil dari penelitian ini menunjukkan bahwa pengurusan perizinan PT melalui OSS saling memiliki keterkaitan satu sama lain, pelaku usaha yang berbentuk badan hukum akan mendirikan PT serta mempersiap segala keperluan untuk memperoleh izin usaha, maka dibutuhkannya akta pendirian yang merupakan kewenangan dari Notaris serta surat keputusan dari Kementerian Hukum dan HAM. Menurut peraturan perundang-undangan mendaftarkan pengesahan pendirian suatu PT ke dalam sistem AHU online akan secara langsung keseluruhan datanya akan nyambung pada sistem OSS. Notaris selaku pejabat umum yang memiliki wewenang untuk membuat Akta Pendirian akan mempunyai wawasan serta pengetahuan yang luas mengenai kegiatan usaha yang berada di Indonesia serta kendala yang akan dihadapi baik pelaku usaha dan Notaris dalam menggunakan sistem aplikasi OSS setelah diluncurkan yaitu sulitnya dalam melakukan akses untuk masuk kedalam laman portal utama pada sistem aplikasi OSS, kurangnya pemahaman pelaku usaha terkait informasi baru di situs, keterbatasan dalam mengakses internet pada sistem aplikasi OSS, Adanya hambatan dalam penggunaan klasifikasi baku lapangan usaha Indonesia (KBLI), Adanya pelaku usaha yang tidak melaksanakan pemenuhan komitmen, serta kendala dalam pemilihan terhadap bidang usaha pada proses pengajuan perizinan Perseroan Terbatas.
