Abstract

The purpose of writing this thesis is firstly to find out the legal consequences of the practice of Nominee shares in PT Aldevco being permitted in Indonesia, secondly to find out the position of Nominee shares based on company law in Indonesia and thirdly to find out the implementation of the nominee share agreement in PT Aldevco. The research method used in this research is normative legal research. This approach is carried out with the aim of examining the law from several aspects such as theory, philosophy, comparison, structure/composition, consistency, general explanations and explanations for each article, formality and binding power of a law. Therefore, it is concluded that normative legal research has a broad scope and is objected to the doctrines, principles, and principle of law. The results obtained from this study include, firstly, that in nominee shares the company's shares are issued in the name of the owner and must be in the name of the actual shareholder, it cannot be a different shareholder name. If the nominee shares are issued not in the name of the owner, the shares are null and void. Domestic investors and foreign investors who invest in the form of a limited liability company are prohibited from entering into agreements and/or statements confirming that share ownership in a limited liability company is for and on behalf of another person or will result in null and void and will not be recognized. The implementation of nominee share ownership agreements is still common in Indonesia and often results in disputes. In its implementation, there are several agreements and power of attorney made in order to be a supporting component to provide certainty to the beneficiary on legally owned objects. This practice is a legal smuggling./ Tujuan dari penulisan skripsi ini adalah pertama untuk mengetahui akibat hukum terhadap praktik saham Nominee PT Aldevco diijinkan di Indonesia, kedua untuk mengetahui kedudukan saham Nominee berdasarkan hukum perusahaan di Indonesia dan ketiga mengetahui pelaksanaan perjanjian saham nominee di PT Aldevco. Metode Penelitian yang digunakan dalam penelitian ini yaitu Penelitian Hukum Normatif. Pendekatan ini dilakukan dengan tujuan mengkaji hukum dari beberapa aspek seperti teori, filosofi, perbandingan, struktur/komposisi, konsistensi, penjelasan umum dan penjelasan pada tiap pasal, formalitas dan kekuatan mengikiat suatu Undang-Undang sehingga dapat disimpulkan bahwa penelitian hukum normatif mempunyai cakupan yang luas dan berobjek pada doktrin, asas, dan prinsip hukum. Hasil yang diperoleh dari penelitian ini antara lain pertama, bahwa dalam saham nominee saham perseroan dikeluarkan atas nama pemiliknya dan harus atas nama pemegang saham yang sebenarnya, tidak bisa nama pemegang saham yang berbeda. Apabila saham nominee dikeluarkan tidak atas nama pemiliknya maka saham tersebut batal demi hukum. Penanaman modal dalam negeri dan penanaman modal asing yang melakukan penanaman modal dalam bentuk perseroan terbatas dilarang membuat perjanjian dan/atau pernyataan yang menegaskan bahwa kepemilikan saham dalam perseroan terbatas untuk dan atas nama orang lain atau akan berakibat batal demi hukum dan tidak diakui. Pelaksanaa Perjanjian Kepemilikan Saham nominee masih sering terjadi di Indonesia dan seringkali mengakibatkan sengketa. Dalam pelaksanannya, terdapat beberapa perjanjian dan surat kuasa yang dibuat agar dapat menjadi komponen pendukung untuk memberikan kepastian kepada pihak beneficiary atas benda yang dimiliki secara hukum. Praktik ini adalah merupakan sebuah penyelundupan hukum.
