Abstract

Pandemi Covid-19 telah membawa perubahan ke dalam berbagai sektor kehidupan manusia, termasuk mekanisme pelaksanaan Rapat Umum Pemegang Saham di berbagai perusahaan, yang saat ini banyak dilakukan secara online. Rapat Umum Pemegang Saham secara online tersebut dilakukan dengan metode videoconference, umumnya melalui platform Zoom. Namun, hal ini menimbulkan pro dan contra di tengah masyarakat sehingga keabsahan baik pelaksanaannya maupun hasil atau risalah RUPS secara online tersebut dipertanyakan. Metode yang digunakan dalam tesis ini adalah metode penelitian normative dengan pendekatan perundang-undangan. Berdasarkan penelitian dalam tesis ini dapat dilihat bahwa pada dasarnya Undang-Undang Perseroan Terbatas telah mengatur secara konkret tentang keabsahan RUPS secara online, khususnya melalui videoconference. Akan tetapi terkait hasil atau risalahnya, baik Undang-Undang Perseoran Terbatas, Undang-Undang Informasi dan Transaksi Elektronik, maupun Undang-Undang Telekomunikasi tidak ada satupun yang mengatur secara konkret terkait syarat-syarat keabsahannya. Hal ini menunjukkan bahwa aturan yang mengatur terkait RUPS secara online masih kurang komprehensif sehingga dibutuhkan adanya peraturan yang secara khusus mengatur terkait hal tersebut. / The Covid-19 pandemic has ushered in transformations to various sectors of human life, including the mechanism for General Shareholder Meetings (hereafter referred to as “GSM”) in many companies, which has been shifted online. Online GSMs has been conducted through video conferencing method, typically through a platform commonly known as Zoom. However, the use of this method has led to societal dilemma regarding the legality of its protocol, results, and documentation. This thesis utilizes the normative research method within the legal framework to derive its findings. It was found that the Limited Corporation Statutes has fundamentally and concretely regulated the legality of online GSMs, specifically those conducted through video conferencing. The loophole lies in the conditions required to determine the legality of both the results and the documentation of online GSMs, which are currently not regulated in the Limited Corporation Statutes nor the Information and Electronic Transaction Statutes. This loophole demonstrates that the rules regarding online GSMs are not yet comprehensive, and as such, they would have to be expanded to cover the aforementioned loophole.
