Abstract

Salah satu organ yang penting dalam suatu Perseroan Terbatas adalah Rapat Umum Pemegang Saham (selanjutnya disebut RUPS), dimana dalam RUPS akan diambil keputusan-keputusan penting sehubungan dengan jalannya Perseroan yang tidak bisa diserahkan kepada organ yang lain yaitu Direksi dan Dewan Komisaris.Bagi Perseroan Terbatas, dimana pemegang saham sendiri tidak merangkap jabatan sebagai anggota Direksi dan Dewan Komisaris di Perseroan Terbatas, RUPS ini sangat penting sekali untuk mendapatkan penjelasan dari Direksi dan Dewan Komisaris dan bisa menentukan apakah Perseroan Terbatas masih berjalan sesuai harapan para pemegang saham sesuai maksud dan tujuan serta kegiatan usaha Perseroan Terbatas. Pandemi Covid 19, menyebabkan masyarakat dilarang berkumpul secara fisik, sehingga RUPS tidak dapat diselenggarakan secara konvensional dengan kehadiran secara fisik pada para pemegang saham. Undang-Undang Perseroan Terbatas Nomor 40 tahun 2007 di Pasal 77, membuka peluang bagi Perseroan Terbatas untuk menyelenggarakan RUPS secara elektronik, yang memungkinkan semua peserta RUPS saling melihat dan mendengar secara langsung serta berpartisipasi dalam RUPS. Kendala yang timbul sehubungan dengan pelaksanaan RUPS secara elektronik adalah keharusan pembuatan Risalah RUPS yang harus ditanda-tangani oleh semua peserta RUPS. Bagaimana jika keputusan disetujui dengan suara terbanyak, dan pemegang saham menolak menanda-tangani Risalah hasil keputusan RUPS yang telah disetujui tersebut? Notaris sebagai pihak yang kredibel dan independen akan dimintakan oleh Perseroan Terbatas membuat Risalah RUPS secara elektronik ini sebagai bentuk perlindungan hukum dan kepastian hukum atas hasil keputusan RUPS secara elektronik. Namun sebagian besar notaris tidak mau menerima pembuatan Risalah RUPS secara elekronik, karena adanya ketentuan mengenai keharusan penanda-tanganan oleh semua peserta RUPS. Dan bagaimana kekuatan hukum Risalah RUPS secara elektronik yang dibuat oleh notaris, hal ini masih menjadi perdebatan. For Limited Liability Companies, where shareholders themselves do not concurrently serve as members of the Board of Directors and Board of Commissioners in Limited Liability Companies, this GMS is very important to get an explanation from The Board of Directors and the Board of Commissioners and can determine whether the Limited Liability Company is still running in accordance with the expectations of shareholders in accordance with the intentions and objectives and business activities of the Limited Liability Company.The Covid 19 pandemic, caused the public to be prohibited from physically gathering, so the GMS could not be held conventionally with a physical presence on the shareholders.Limited Liability Company Law Number 40 of 2007 in Article 77, opens opportunities for Limited Liability Company to hold GMS electronically, which allows all GMS participants See each other and hear in person and participate in the GMS. Obstacles that arise in connection with the implementation of GMS electronically is the necessity of making a MINUTES of GMS that must be signed by all GMS participants. What if the decision is approved with the most votes and the shareholder refused to sign the minute of the results of the GMS decision that has been produced ? Notaries as credible and independent parties will be requested by the Limited Liability Company to make this electronic GMS Minutes as a form of legal protection and legal certainty on the results of the decision. GMS electronically. However, most notaries do not accept the making of the MINUTES of the GMS electronically, because of the provisions for the obligation to sign by all GMS participants.
