Abstract

Perkembangan ekonomi yang pesat khususnya dibidang pasar modal memberikan pengaruh terhadap tatanan kepastian hukum, yang dimana hal tersebut menjadi kewajiban negara untuk membuatnya peraturan-peraturan terkait dengan perilaku bisnis dan profesi penunjang di pasar modal khususnya mengenai fungsi Notaris sebagai profesi penunjang pasar modal dalam proses penawaran umum perdana saham perseroan terbatas. Notaris memiliki fungsi yang sangat luas, karena semua kegiatan hukum perdata tidak akan terlepas dari fungsi Notaris. Notaris sebagai profesi penunjang pasar modal dalam proses penawaran umum perdana saham perseroan terbatas memiliki fungsi dalam penyusunan anggaran dasar para pelaku pasar modal, perusahaan publik, perusahaan efek dan serta dalam pembuatan akta perjanjian-perjanjian yang penting, Notaris tersebut wajib terdaftar di Otoritas Jasa Keuangan, dengan memenuhi klasifikasi sebagai profesi penunjang di pasar modal. Metode penelitian yang digunakan oleh penulis adalah yuridis normative dengan pendekatan peraturan perundang-undangan. Penelitian ini bertujuan agar dapat mengetahui fungsi Notaris sebagai profesi penunjang pasar modal dalam proses penawaran umum perdana saham perseroan terbatas. Sampai pada kesimpulan bahwa Notaris sebagai profesi penunjang pasar modal tugas dan tanggung jawabnya akan semakin luas salah satunya adalah dalam proses penawaran umum perdana saham perseoran terbatas yang dimana berfungsi dalam membuat akta autentik serta dokumen pendukung yang diperlukan dalam kegiatan Pasar Modal, Notaris sebagai profesi penunjang Pasar Modal tetap harus mengikuti Undang-Undangan Pasar Modal, Undang-Undang Otoritas Jasa Keuangan, Undang-Undang Jabatan Notaris dan mengikuti pedoman-pedoman Ikatan Notaris Indonesia, agar dapat terus berkembang dan memberikan kepastian hukum seiring berjalannya waktu. / As we know economic developed rapidly, especially in the capital market sector, has an influence on the legal certainty order, in which it is the obligation of the state to make regulations related to business behavior and supporting professions in the capital market, especially regarding the function of a Notary as a profession supporting the capital market in the public offering process. initial shares of a limited liability company. Notaries have a very broad function, because all civil law activities will not be separated from the function of a notary. Notary as a capital market supporting profession in the process of initial public offering of limited liability company shares has a function in preparing the articles of association of capital market players, public companies, securities companies and also in making important deed of agreements, the Notary must be registered with the Financial Services Authority, by fulfilling the classification as a supporting profession in the capital market. The research method used by the author is normative juridical with a statutory approach. This study aims to determine the function of a notary as a profession supporting the capital market in the process of the initial public offering of limited liability company shares. Coming to the conclusion that a Notary as a capital market supporting profession, his duties and responsibilities will be wider, one of which is in the process of an initial public offering of limited liability company shares which functions in making authentic deeds and supporting documents needed in Capital Market activities, Notaries as a market supporting profession Fixed capital must comply with the Capital Market Law, the Financial Services Authority Law, the Notary Position Act and follow the guidelines of the Indonesian Notary Association, in order to continue to develop and provide legal certainty over time.
