Abstract

Penerbitan obligasi merupakan salah satu cara bagi para perusahaan selaku Penerbit Obligasi untuk mendapatkan fresh money guna menunjang usahanya salah satunya adalah untuk pembayaran utang-utangnya kepada para Debitor. Penerbit Obligasi ini mengeluarkan surat utang untuk selanjutnya dipegang oleh para Pemegang Obligasi selaku Debitor. Penerbitan obligasi ini juga bergantung kepada Notaris Penunjang Pasar Modal sebagai pejabat umum yang memiliki wewenang membuat akta otentik yang berkaitan dengan penerbitan obligasi, salah satunya adalah Akta Perwaliamanatan yang dibuat antara Penerbit Obligasi dengan Wali Amanat sebagai pihak yang mewakili kepentingan Pemegang Obligasi. Notaris sebagai Profesi Penunjang Pasar Modal wajib terlebih dulu memenuhi ketentuan yang diatur dalam Peraturan OJK Nomor 67/POJK.04/2017 Tentang Notaris yang Melakukan Kegiatan di Pasar Modal yang salah satu kewajibannya adalah melakukan pendaftaran sebelum menjalankan kewenangannya di sektor Pasar Modal. Dalam hal ini, Notaris AS tidak memenuhi ketentuan tersebut dan memiliki konsekuensi hukum terhadap Akta Perwaliamanatan yang dibuat di hadapannya, yaitu akta tersebut berubah menjadi akta di bawah tangan. Padahal, akta tersebut mengatur mengenai tugas dan tanggung jawab Wali Amanat terutama dalam pailitnya PT Sunprima Nusantara Pembiayaan sebagai Penerbit Obligasi. / Bond issuance is one way for companies as bond issuers to get fresh money to support their business, one of which is to pay their debts to debtors. This Bond Issuer issues debt securities to be subsequently held by the Bond Holders as Debtors. The issuance of these bonds also depends on the Capital Market Supporting Notary as a public official who has the authority to make authentic deeds related to the issuance of bonds, one of which is the Trustee Deed made between the Bond Issuer and the Trustee as a party representing the interests of the Bondholders. Notaries as Capital Market Supporting Professions must first fulfill the provisions stipulated in OJK Regulation Number 67/POJK.04/2017 concerning Notaries Conducting Activities in the Capital Market, one of which is to register before exercising their authority in the Capital Market sector. In this case, Notary AS does not comply with these provisions and has legal consequences for the Trustee Deed made before him, namely the deed turns into a private deed. In fact, the deed regulates the duties and responsibilities of the Trustee, especially in the bankruptcy of PT Sunprima Nusantara Pembiayaan as the Bond Issuer.
