Abstract

Divestasi digunakan untuk istilah penjualan, pemisahan atau pelepasan anak perusahaan, unit bisnis, atau hanya lini produk kepada pihak lain untuk mendapatkan kas, saham, atau keduanya. Pada dasarnya Divestasi dapat dilakukan oleh Pemerintah Indonesia dan/ atau badan hukum asing yang bergerak dalam bidang pertambangan. Sampai saat ini pengaturan pelaksanaan Divestasi Saham pada perusahaan kontrak karya masih menjadi fenomena yang layak untuk diteliti, maka dari itu penulis tertarik untuk melakukan pengkajian secara mendalam terhadap proses kegiatan Divestasi Saham PT Kasongan Bumi Kencana. Hasil penelitian ini menunjukkan bahwa proses kegiatan Divestasi Saham PT KBK terbagi menjadi dua, yaitu tahap awal dan tahap penawaran. Kemudian terkait dengan kewenangan dan tanggung jawab Notaris dalam melakukan kegiatan Divestasi Saham perusahaan Kontrak Karya pertambangan mineral meliputi pembuatan akta pendirian perusahaan, pembuatan akta jual beli saham yang diwajibkan dalam KepMen ESDM mengenai divestasi saham bahwa wajib dituangkan dalam bentuk akta jual beli saham, pembuatan akta pembukaan penawaran, pembuatan akta berita acara RUPS, dan tanggung jawab terhadap pemberian penyuluhan hukum terkait akta yang dibuat / Divestment is used for the term sale, separation or disposal of a subsidiary, business unit, or simply a product line to another party for cash, stock, or both. Basically, divestment can be carried out by the Indonesian government and/or foreign legal entities engaged in mining. Until now, the regulation on the implementation of Share Divestment in a contract of work company is still a phenomenon that deserves to be investigated, therefore the author is interested in conducting an in-depth study of the process of PT Kasongan Bumi Kencana's Share Divestment activities. The results of this study indicate that the process of PT KBK's Share Divestment activities is divided into two, namely the initial stage and the offering stage. Then related to the authority and responsibility of a Notary in carrying out Share Divestment activities in a mineral mining Contract of Work company including making a deed of company establishment, making a deed of sale and purchase of shares required in the Minister of Energy and Mineral Resources Decree regarding share divestment that must be stated in the form of a deed of sale and purchase of shares, making an opening deed. offer, making deed of minutes of GMS, and responsibility for providing legal counseling related to the deed made.
