Abstract

Dalam hal melakukan ekspansi bisnis, sebuah perusahaan memerlukan modal usaha yang pada umumnya berbasis ke dalam tiga jenis yaitu laba ditahan, ekuitas dan hutang. Tesis ini mengkaji lebih dalam mengenai kebutuhan perusahaan akan pemenuhan modal usaha berbasis ekuitas yaitu melalui Rights Issue. Tesis ini mengangkat sebuah kasus yang terjadi pada sebuah perusahaan terbuka bernama PT Nusantara Infrastructure Tbk, yang memerlukan modal usaha melalui Rights Issue untuk pembangunan proyek jalan tol layang di Makassar, tetapi proses Rights Issue-nya ditunda dikarenakan adanya permintaan dari OJK kepada pemegang saham PT Nusantara Infrastructure Tbk untuk mendeklarasikan diri sebagai pemegang saham pengendali. Padahal, apabila dilihat dari definisi secara kualitatif dan kuantitatif yang terdapat dalam Peraturan OJK No. 9/2018, pemegang saham yang diwajibkan sebagai pemegang saham pengendali ini, belum memenuhi persyaratan dari keduanya. Metode penelitian yang digunakan dalam penulisan tesis ini adalah normatif empiris, melalui analisa bahan pustaka dan dokumen terkait dengan penelitian serta melalui wawancara dari pihak terkait dalam studi kasus penelitian ini. Hasil dari penelitian ini mengungkapkan bahwa dasar hukum OJK dalam melakukan penundaan Rights Issue adalah Peraturan OJK No. 9/2018 tentang Pengambilalihan Perusahaan Terbuka, meskipun pada akhirnya keputusan ini menimbulkan banyak konsekuensi negatif bagi PT Nusantara Infrastructure Tbk, dikarenakan kurang kuatnya penggunaan peraturan ini sebagai dasar hukum OJK. OJK pun tidak melakukan hal apapun sebagai bentuk pertanggungjawaban atas penundaan ini dan tidak memberikan alternatif solusi bagi PT Nusantara Infrastructure Tbk selain menjadikan salah satu pemegang sahamnya untuk menjadi pengendali/In terms of doing business expansion, a company needs business capital which is generally based on three types, namely retained earnings, equity and debt. This thesis examines the company's need for equity-based venture capital, namely through a Rights Issue. This thesis raises a case that occurred in a public company called PT Nusantara Infrastructure Tbk, which required venture capital through a Right Issue for the construction of an elevated toll road project in Makassar, but the Rights Issue process was postponed due to a request from OJK to PT Nusantara shareholders. Infrastructure Tbk to declare itself as the controlling shareholder. In fact, when viewed from the qualitative and quantitative definitions contained in OJK Regulation No. 9/2018, the shareholders who are required to be the controlling shareholders have not met the requirements of both. The research method used in writing this thesis is empirical normative, through analysing library materials and documents related to the research as well as through interviews from parties involved in the case study of this research. The result of this research shows that the legal base of OJK to delay the Rights Issue is OJK Regulation No. 9/2018 concerning the Acquisition of Public Company. However, this decision has resulted in many negative consequences for PT Nusantara Infrastructure Tbk, due to the lack of legal basis on the utilization of this regulation of the legal base from OJK. Moreover, OJK did not provide any alternative solutions for PT Nusantara Infrastructure Tbk as an indemnity, which leaves the company no other option but to turn one of its shareholders into the controlling shareholder
