Abstract

"Dunia usaha yang bergerak semakin cepat saat ini membutuhkan suatu wadah yang tepat bagi para pelaku usaha untuk dapat bertindak melakukan perbuatan hukum dan bertransaksi dalam kegiatan usaha. Salah satu penemuan hukum baru dalam Undang - Undang Cipta Kerja adalah dengan dibentuknya sebuah perseroan khusus untuk Usaha Mikro dan Kecil yakni Perseroan Perorangan. Perkembangan hukum yang memberikan kemudahan melalui pendirian Perseroan Perorangan dapat menimbulkan permasalahan apabila tidak didukung dengan perlindungan yang baik oleh Pemerintah. Melalui penelitian hukum normatif-empiris dengan bahan hukum diperoleh melalui studi kepustakaan dan hasil wawancara, penelitian ini membahas kekuatan status badan hukum perseroan perorangan tanpa akta notaris beserta pembubarannya. Hasil dari penelitian, Perseroan Perorangan memiliki kekuatan hukum yang kuat sesuai pengaturan dalam Undang-Undang Cipta Kerja, begitupula konsep dan aturan pembubaran Perseroan Perorangan diatur secara sederhana tanpa akta otentik. Guna memperkuat dasar hukum dan mencegah timbulnya kekeliruan dalam hal pelaksanaannya, badan hukum perorangan yang memenuhi kriteria Usaha Mikro dan Kecil mestinya memiliki pengaturan sendiri secara terpisah yang lebih detail dan jelas./The rapidly moving business world today requires an appropriate forum for business actors to act in legal actions and transact in business activities. One of the new legal discoveries in the Employment Copyright Act is establishing a particular company for Micro and Small Enterprises, i.e., the One Person Company. Legal developments that provide convenience through the establishment of one person companies can cause problems without good protection support from the government. Through normative-empirical legal research with legal materials from literature studies and interviews, this study discusses the strength of the legal entity status of a One Person Company without a notary deed and its dissolution. The research results showed that the One Person Company has strong legal force following the provisions of the Job Creation Act and the concepts and rules for the dissolution of a One Person Company, regulated simply without an authentic deed. In order to strengthen the legal basis and prevent errors in its implementation, individual legal entities fulfilling the criteria for Micro and Small Enterprises should have more detailed and clearer separate regulations."
