Abstract

A notary has a role in a cooperation act done by any limited liability companies. The aforementioned role is divided into two: the one that is obligated by laws and the one that comes up due to the needs of all parties. One of the important cooperation acts is the shares buy-back. UUPT rules the requirements and the limitations of the shares buy-back. In regards of public PT are the special arrangements of the shares buy-back published by OJK. The arrangements are aimed at the protection for the shareholders. This thesis focuses on the roles of a notary in the sharebuy-back of open PTs and how the rules regarding to that matter during a fluctuated market provide the needs of the shareholders.In this research, the data used is juridical-reputable with secondary data. The approach conducted is by Law approach. The data collection is done by doing a literature review and interviews. From this research, it could be concluded that the main role of a notary is to formulate an authentic decree about both the shares buy-back and its diversion as well as to conduct other authority as stated in UUJN in order to give a legal standing and a legal protection on documents made by all parties because they can give a perfect protection. The role of POJK 2/2013 is to give a protection to stock holders in the buy-back done without RUPS. The protection could be seen from the disclosure obligation, the limitations of the fund used for the buy-back, a guarantee from insider trading and market manipulation. Shareholders also have an access to ask for a compensation for every loss suffered because of the against-the law acts in the buy-back. / Notaris mempunyai peranan dalam aksi korporasi yang dilakukan oleh suatu PT. Peranan tersebut ada yang diharuskan oleh peraturan perundang-undangan dan ada pula yang timbul akibat dari kehendak para pihak. Salah satu aksi korporasi yang penting adalah pembelian kembali saham. UUPT mengatur mengenai syarat dan pembatasan pelaksanaan pembelian kembali saham. Khusus untuk PT terbuka terdapat pengaturan khusus mengenai pembelian kembali saham yang diterbitkan oleh OJK. Pengaturan tersebut diterbitkan salah satu tujuannya adalah untuk memberikan perlindungan terhadap pemegang saham. Tesis ini meneliti peranan Notaris dalam pembelian kembali saham PT terbuka dan bagaimana aturan tentang pembelian kembali saham untuk PT terbuka dalam kodisi pasar berfluktuasi signifikan cukup melindungi kepentingan para pemegang saham. Dalam penelitian ini, jenis penelitian yang digunakan adalah penelitian yuridis normatif dengan jenis data yang digunakan adalah data sekunder. Pendekatan yang digunakan adalah pendekatan perundang-undangan. Pengumpulan data dilakukan dengan cara studi pustaka dan wawancara. Dari penelitian tersebut, dapat disimpulkan bahwa peran utama Notaris adalah membuat akta autentik mengenai pembelian kembali saham maupun pengalihannya. Serta melaksanakan kewenangan lainnya sebagaimana ditentukan di dalam UUJN agar dapat memberikan kepastian hukum dan perlindungan hukum terhadap dokumen yang dibuat oleh para pihak karena dapat memberikan kekuatan pembuktian yang sempurna. Ketentuan POJK 2/2013 tetap memberikan perlindungan terhadap pemegang saham dalam pembelian kembali saham yang dilakukan tanpa menyelenggarakan RUPS. Perlindungan tersebut dapat terlihat dari adanya kewajiban disclosure, pembatasan jumlah dana yang akan digunakan untuk pelaksanaan pembelian kembali saham, jaminan dari insider trading dan praktek manipulasi pasar serta pemegang saham juga mempunyai akses untuk menuntut ganti rugi terhadap setiap kerugian yang dideritannya karena pelanggaran pelaksanaan pembelian kembali saham yang merugikannya.
