Abstract

In Indonesia, Information and communication technology development has been growing rapidly and its impact are on various areas, including in the field of law notaries itself. In this case, the application of cybernetics concept of notaries to increase the effectiveness and efficiency of the Notary. This is what has become the basis to conduct a research in regards to the legal analysis for cyber notary of deed of minutes in General Meeting of Shareholders (RUPS) through electronic media. Company law regulate the provisions of RUPS can be held through the means of teleconference, videoconference, and other electronic media. The results of RUPS will then be documented as Relaas Deed by the Notary, in which attendees of RUPS including notary are present in the meeting, yet not physically exist in the same location with all the meeting participants. Instead, its presence are connected virtually through electronic media of video conferencing, and sign the deed electronically which allowed by the ITE Law, while it is not regulated within UUJN. The purpose of this study is to determine the provisions of laws and regulations governing the Cyber Notary deed of General Meeting of Shareholders (RUPS) and its legal status as an authentic deed. The type of research used in this thesis is a normative legal research with the statute approach. The Statute Approach is done by examining all laws and regulations related to the legal issues at hand, namely regarding the standing of Cyber Notary in RUPS deed conducted via electronic media as an authentic deed. / Perkembangan teknologi informasi dan komunikasi di Indonesia telah berkembang pesat dan perkembangannya berdampak pada berbagai bidang, termasuk juga dalam bidang hukum kenotariatan di Indonesia. Dalam hal ini dikaitkan dalam penerapan konsep cyber notary yang meningkatkan efektivitas dan efisiensi para Notaris. Hal inilah yang menjadi dasar pemikiran untuk melakukan penelitian dengan membahas analisa hukum mengenai cyber notary dalam akta risalah rapat umum pemegang saham (RUPS) melalui media elektronik. UU PT mengatur ketentuan RUPS dapat dilaksanakan melalui teleconference, video conference dan sarana media elektronik lainnya. Hasil dari RUPS ini akan dibuatkan dokumentasinya sebagai akta relaas oleh Notaris, dimana peserta rapat dan Notaris hadir dalam rapat tetapi tidak secara fisik berada ditempat yang sama dengan semua peserta rapat, melainkan terhubung kehadirannya melalui media elektronik video conference, dan menandatangani akta dengan menggunakan tanda tangan secara elektronik yang diperbolehkan oleh UU ITE sedangkan hal tersebut tidak diatur dalam UUJN. Tujuan dari penelitian ini adalah untuk mengetahui ketentuan peraturan perundangan yang mengatur mengenai Cyber Notary terhadap Akta Rapat Umum Pemegang Saham (RUPS) dan kedudukan hukumnya sebagai akta otentik. Jenis penelitian yang digunakan dalam tesis ini adalah penelitian hukum normatif dengan pendekatan perundang-undangan (statute approach). Pendekatan perundang-undangan dilakukan dengan menelaah semua undang-undang dan peraturan yang berkaitan dengan isu hukum yang sedang dihadapi, yakni perihal kedudukan cyber notary dalam akta RUPS yang dilaksanakan melalui media elektronik adalah sebagai akta otentik.
