Abstract

The purpose of this writing is to find out the legal protection for shareholders in companies declared bankrupt and to determine the settlement of bankruptcy disputes between PT. Multi Cakra Kencana Abadi with PT. Cowell Development, Tbk in order to obtain certainty, justice, benefit and legal protection for creditors who have been harmed by the bankruptcy cases that occurred. This research was conducted by using normative juridical research where the object of this research is the concept of law, legal principles and legal doctrine. So this study analyzes the problem by combining legal materials with primary data obtained from reading materials or references. The benefit of this normative research is to provide a juridical argument against the vacuum and conflict of norms. The data collected will be used and analyzed descriptively to describe various symptoms and facts contained in the research conducted. The results of research and analysis in this paper is the bankruptcy of a company which will result in losses to shareholders. The impact of the bankruptcy will cause losses to shareholders in the form of declining share prices or the elimination of shares. Stock trading that has been frozen by the Indonesia Stock Exchange will be threatened with delisting from the Indonesia Stock Exchange, due to a bankruptcy petition. The impact of bankruptcy on shareholders also causes a decrease in share prices, but shareholders have the right to ask the company to buy their shares at a fair price and each shareholder has the right to file a lawsuit against the company because it is considered that the company's actions are detrimental to the shareholders. Due to the bankruptcy, the debtor is filed for bankruptcy by the creditor. The bankruptcy occurred because of a loan agreement and based on the evidence in the trial the judge declared the debtor declared bankrupt with all the legal consequences. The bankruptcy decision was already fair because the things that the Bankrupt Respondent did had violated the existing laws. / Penelitian ini bertujuan untuk mengetahui perlindungan hukum bagi pemegang saham pada perusahaan yang dinyatakan pailit serta mengetahui penyelesaian sengketa kepailitan antara PT. Multi Cakra Kencana Abadi dengan PT. Cowell Development, Tbk agar dapat memperoleh kepastian, keadilan, kemanfaatan dan perlindungan hukum bagi para kreditor yang telah dirugikan oleh kasus kepailitan yang terjadi. Penelitian ini dilakukan dengan menggunakan jenis penelitian yuridis normatif yang dimana obyek dari penelitian ini adalah konsep hukum, asas hukum dan doktrin hukum. Sehingga penelitian ini menganalisis permasalahan dengan menggabungkan bahan- bahan hukum dengan data primer yang didapat dari bahan- bahan atau referensi bacaan. Manfaat dari penelitian normatif ini adalah untuk memberikan suatu argumentasi yuridis terhadap kekosongan dan konflik norma. Data yang dikumpulkan akan digunakan dan dianalisis secara deskriptif untuk menggambarkan berbagai gejala dan fakta yang terdapat dalam penelitian yang dilakukan. Hasil penelitian dan analisis dalam penulisan ini adalah kepailitan terhadap suatu perusahaan yang akan mengakibatkan kerugian terhadap pemegang saham. dampak dari kepailitan tersebut akan menyebabkan kerugian terhadap pemegang saham berupa menurunya harga saham ataupun terhapusnya saham dan perdagangan saham yang telah dibekukan oleh Bursa Efek Indonesia akan terancam dihapus pencatatannya dari Bursa Efek Indonesia, dikarenakan adanya permohonan pailit. Dampak dari kepailitan terhadap pemegang saham juga menyebabkan menurunnya harga saham, namun pemegang saham berhak untuk meminta kepada perseroan agar sahamnya dibeli dengan harga wajar dan setiap pemegang saham berhak untuk mengajukan gugatan terhadap perseroan karena dianggap tindakan perseroan merugikan para pemegang saham. Karena kepailitan tersebut maka, debitor diajukan pailit oleh kreditor. Kepailitan tersebut terjadi karena adanya perjanjian pinjaman dan berdasarkan bukti-bukti dalam persidangan Hakim menyatakan debitor dinyatakan pailit dengan segala akibat hukumnya. Kepailitan dalam putusan tersebut sudahlah adil karena hal-hal yang dilakukan oleh Termohon Pailit telah melanggar Undang-Undang yang ada.
