Abstract

Notary plays an important role in the Initial Public Offering (IPO). In addition, the Notary has the responsibility to examine all documents to be reviewed in connection with the IPO process, among others, the issuer's Articles of Association and other agreements related to activities in the capital market. Requirements that must be fulfilled by a Notary in order to serve the function as Capital Market Supporting Professionals other than appointed as Notary in accordance with the Notary Law, also must fulfill the requirements as stipulated in rule Number VIII.D.1 Attachment of Decision of Chairman of BAPEPAM number Kep-37 / PM / 1996 dated January 17, 1996 of Notary Registration that conducts capital market activities, requiring the Notary to have expertise in the capital market through a program organized by BAPEPAM-LK by attending Advanced Professional Education (PPL), thereby finally being able to apply for Letter of Alert Registered (STTD) to the Otoritas Jasa Keuangan. The Regulation of Notary Substitute is sufficiently stated in the Notary Act, but it is not the case with Notary of Substitute for Capital Market, therefore, in determining the role and authority of Notary Substitute of capital market, it needs a deep enough approach both normatively and practice. The Role of Notary Substitute of the current capital market is inevitable, but it must also be critically examined in order to realize the professional and legally legitimate capital market activity. / Notaris berperan penting dalam Penawaran Perdana (IPO). Selain itu, Notaris mempunyai tanggung jawab untuk meneliti dan memeriksa seluruh dokumendokumen yang harus diperiksa sehubungan dengan proses IPO tersebut, antara lain Anggaran Dasar emiten serta perjanjian lainnya yang terkait dengan kegiatan di pasar modal. Persyaratan yang harus dipenuhi oleh Notaris agar dapat menjankan fungsi sebagai Profesi Penunjang Pasar Modal selain diangkat sebagai Notaris sesuai dengan Undang Undang Jabatan Notaris, juga wajib memenuhi persyaratan sebagaimana diatur dalam peraturan Nomor VIII.D.1 Lampiran Keputusan Ketua BAPEPAM nomor Kep-37/PM/1996 tertanggal 17 Januari 1996 tetang Pendaftaran Notaris yang melakukan kegiatan pasar modal, yang isinya mewajibkan Notaris tersebut mempunyai keahlian dalam bidang pasar modal melalui program yang diselenggarakan oleh BAPEPAM-LK dengan mengikuti Pendidikan Profesi Lanjutan (PPL), sehingga akhirnya dapat mengajukan permohonan Surat Tanda Terdaftar (STTD) ke Otoritas Jasa Keuangan. Peraturan mengenai Notaris Pengganti cukup tertera jelas dalam Undang-Undang Jabatan Notaris, tetapi tidaklah demikian dengan Notaris Pengganti pasar modal, oleh sebab itu dalam menentukan peran dan kewenangan Notaris Pengganti pasar modal diperlukan pendekatan yang cukup mendalam baik secara normatif maupun praktek. Peran Notaris Pengganti pasar modal saat ini memang tidak dapat dihindari, tetapi hal itu juga harus menjadi bahan telaah secara kritis guna mewujudkan kegiatan pasar modal yang profesional dan sah secara hukum.
