Abstract

Dalam kondisi saat ini membangun adakalanya para pihak memiliki modal yang besar tapi tidak memiliki lahan yang cukup untuk membangun begitupun sebaliknya, dari kondisi inilah timbulnya saling membutuhkan antara satu pihak dengan pihak lain yang menimbulkan adanya hubungan kerjasama yang melahirkan suatu Perjanjian Kerjasama dengan satu model bentuk kerjasama yaitu Perjanjian Kerjasama Build Operate Transfer / BOT selanjutnya disebut Perjanjian BOT. Dimana Pemilik hak eksklusif atau pemilik lahan menyerahkan studi kelayakan, pengadaan barang dan peralatan, pembangunan serta pengoperasian hasil pembangunannya serta pengoperasian hasil pembangunannya kepada investor, dan investor dalam jangka waktu tertentu (jangka waktu konsesi) diberi hak mengoperasikan, serta mengambil manfaat ekonomi dari bangunan bersangkutan. Perjanjian BOT harus berlandaskan Pasal 1338 dan Pasal 1320 KUH Perdata serta agar suatu perjanjian mempunyai kekuatan sebagai alat bukti sempurna sebaiknya dituangkan dalam bentuk akta notaris. Dalam menyelesaikan setiap permasalahan yang timbul dalam suatu perjanjian BOT diperlukan musyawarah terlebih dahulu sebagai itikad baik untuk menyelesaikan masalah. Setelah itu melihat kedalam isi perjanjian itu sendiri. Dalam penelitian ini penulis melakukan jenis penelitian hukum normatif dengan menggunakan data sekunder untuk memperoleh informasi dan masukan berkaitan dengan penelitian ini. Metode Pendekatan yang dilakukan adalah Pendekatan Perundang-undangan (statute approach), Pendekatan Konseptual (conceptual approach), dan Pendekatan Kasus (case approach) / In the era where everyone wants to build something, some parties have the leverage on having significant capital but have no land for them to build on and vice versa. From such condition, the emergence of mutual need between one party and another arises resulting in a cooperative relationship in the form of a Cooperation Agreement with one form model, namely the Build Operate Transfer Agreement (“BOT”). In BOT, the landowner will submit a feasibility study, procurement of goods and equipment, construction and operation of the results of the development to investors. And the investors will be granted the right to operate, as well as the right to take economic benefits from the building concerned in a certain period of time (concession period). The creation of BOT must be in line with Article 1338 juncto 1320 Indonesian Civil Code. Moreover, in order to make the BOT becomes a piece of legitimate evidence, the BOT must be stated in a notarial deed. In resolving any problems arising from the BOT agreement, deliberation with good faith is needed in resolving the problem. Also, we must also look into the contents of the agreement itself. In this Thesis, the author conducted normative legal research type with uses secondary data to obtain information and input related to this Thesis. The method of approach that the author does is the Legislation Approach (statute approach), Conceptual Approach, and Case Approach
