Abstract

Ketentuan dalam Pasal 77 ayat (1) Undang-Undang Nomor 40 Tahun 2007 tentang Perseroan Terbatas yang menyatakan bahwa penyelenggaraan Rapat Umum Pemegang Saham (RUPS) dapat dilakukan melalui telekonferensi memberikan suatu terobosan baru sekaligus memiliki permasalahan khususnya dalam pembuatan Akta RUPS yang dilakukan oleh Notaris. Dalam penelitian ini, permasalahan yang diangkat adalah bagaimana pengaturan pembuatan akta RUPS yang dilaksanakan melalui telekonferensi ini karena dalam Undang-Undang Jabatan Notaris hanya mengatur pembuatan Akta secara konvensional. Bagaimana perlindungan hukum terhadap notaris dalam pembuatan akta RUPS apabila notaris membuat Akta RUPS yang dilaksanakan melalui telekonferensi. Jenis penelitian ini adalah yuridis empiris dengan analisis data secara kualitatif. Teknik pengumpulan data dilakukan dengan wawancara kepada notaris dan peraturan perundang-undangan sebagai bahan pendukung dalam melengkapi hasil dari data penelitian. Dari hasil penelitian dapat disimpulkan bahwa pembuatan akta RUPS melalui telekonferensi belum dapat dilaksanakan karena UUJN sebagai dasar bagi Notaris dalam menjalankan kewenangannya belum mengatur pembuatan akta secara telekonferensi. Perlindungan hukum terhadap notaris dalam pembuatan akta secara telekonferensi berdasarkan pasal 66 UUJN apabila suatu saat akta yang dibuat bermasalah Majelis Kehormatan Notaris akan memeriksa, apakah pembuatan akta tersebut telah sesuai dengan ketentuan UUJN. Notaris tidak perlu takut digugat, apabila dirinya telah membuat akta dengan menjalankan regulasi- regulasi yang ada dengan benar / Provisions in Article 77 paragraph (1) of Law Number 40 of 2007 concerning Limited Liability Companies which state that the holding of a General Meeting of Shareholders (RUPS) can be conducted through teleconference provides a new breakthrough while also having problems, especially in the making of the GMS Deed carried out by a Notary. In this study, the problem raised was how the arrangement for making a GMS deed carried out through teleconference was because in the Act of Notary Position only regulated the making of Deed conventionally. What is the legal protection of a notary in making a GMS deed if the notary makes a GMS Deed carried out through teleconference.This type of research is empirical juridical with qualitative data analysis. Data collection techniques are conducted by interviewing several notaries and legislation as supporting material in completing the results of the research data. From the results of the study, it can be concluded that the making of the GMS deed through teleconference cannot be implemented because the UUJN as a basis for the Notary in carrying out its authority has not yet arranged the making of a deed by teleconference. Legal protection against a notary in making a deed by teleconference based on Article 66 of the UUJN if one day the deed is made in trouble the Honorary Board of Notaries will check whether the deed was in accordance with the provisions of the UUJN. A notary does not need to be afraid of being sued, if he has made a deed by implementing the regulations that exist correctly
