Abstract

Pasal 90 Undang-Undang Nomor 40 Tahun 2007 tentang Perseroan Terbatas (UUPT) menyatakan bahwa setiap Rapat Umum Pemegang Saham (RUPS) wajib dibuat risalahnya. Risalah RUPS yang dibuat dibawah tangan dapat dinyatakan dalam akta notaris dalam suatu akta pernyataan keputusan rapat yang dalam pembuatannya notaris menyatakan apa yang disampaikan oleh para pemegang saham melalui risalah RUPS yang ditunjukkan oleh penghadap kepada notaris. Dalam hal risalah RUPS yang dibuat dibawah tangan ditandatangani secara palsu, maka terdapat permasalahan bagaimana perlindungan hukum bagi notaris yang dinyatakan turut serta dalam penyelenggaraan RUPS Perseroan Terbatas (Perseroan) yang ditandatangani secara palsu dalam akta pernyataan keputusan rapat? Tujuan dari penelitian ini adalah menyelesaikan masalah hukum guna memahami kewenangan notaris dalam membuat akta pernyataan keputusan rapat dan mencari ide-ide hukum yang dapat membentuk perlindungan hukum bagi notaris yang dinyatakan turut serta dalam penyelenggaraan RUPS Perseroan yang ditandatangani secara palsu dalam akta pernyataan keputusan rapat. Metode penelitian adalah penelitian hukum normatif. Hasil penelitian menunjukkan terdapat notaris yang bertanggung jawab secara pidana dan administratif terkait pembuatan akta pernyataan keputusan rapat. Kesimpulan dari penelitian ini adalah kewenangan notaris dalam membuat akta pernyataan keputusan rapat adalah untuk menuangkan hal-hal yang disampaikan penghadap melalui berita acara RUPS yang dibuat dibawah tangan, sebagai bentuk kehati-hatian notaris juga berwenang untuk memperoleh dan/atau melihat dokumen-dokumen pendukung yang secara wajar ada pada suatu RUPS. Undang-Undang Nomor 30 Tahun 2004 tentang Jabatan Notaris sebagaimana telah diubah oleh Undang-Undang Nomor 2 Tahun 2014 (UUJN) memberikan perlindungan hukum bagi notaris yang dinyatakan turut serta dalam penyelenggaraan RUPS Perseroan yang ditandatangani secara palsu dalam akta pernyataan keputusan rapat berupa ketentuan mengenai kewajiban notaris serta mengenai bentuk dan prosedur pembuatan akta autentik./Article 90 of Law Number 40 of 2007 concerning Limited Liability Companies (UUPT) states that every General Meeting of Shareholders (RUPS) must have its minutes recorded. The minutes of the RUPS, if prepared privately, can be stated in a notarial deed known as a deed of statement of meeting resolutions, in which the notary declares what is conveyed by the shareholders through the minutes of the RUPS presented to the notary. In the event that the privately prepared minutes of the RUPS are falsely signed, there arises the issue of legal protection for the notary who is deemed to have participated in the organization of the Limited Liability Company's (Company) RUPS and has falsely signed the deed of statement of meeting resolutions. The objective of this research is to resolve legal issues by understanding the authority of the notary in preparing the deed of statement of meeting resolutions and to seek legal ideas that can establish legal protection for the notary who is deemed to have participated in the organization of the Company's RUPS and has falsely signed the deed of statement of meeting resolutions. The research methodology employed is normative legal research. The research findings indicate that there are notaries who are criminally and administratively responsible in connection with the preparation of the deed of statement of meeting resolutions. The conclusion of this research is that the authority of the notary in preparing the deed of statement of meeting resolutions is to record the matters conveyed by the presenter through the privately prepared minutes of the RUPS. As a matter of prudence, the notary is also authorized to obtain and/or review supporting documents that reasonably exist in an RUPS. The Law Number 30 of 2004 concerning Notary Position, as amended by Law Number 2 of 2014 (UUJN), provides legal protection for notaries who are deemed to have participated in the organization of the Company's RUPS and have falsely signed the deed of statement of meeting resolutions in the form of provisions regarding the obligations of notaries, as well as regulations concerning the form and procedure for preparing authentic deeds.
