Abstract

Perkembangan zaman menuntut seluruh aspek hukum untuk terus dapat bersinergi demi mencegahnya suatu kekosongan hukum, tidak terelakan bagi PT Tertutup yang tidak dapat menghindar dari perkembangan pesat teknologi yang dijanjikan dapat memberikan kemudahan dan kecepatan. Pencetusan pengunaan dari tanda tangan elektronik sebetulnya muncul pertama kali pada UUITE No 19 tahun 2016 tentang Perubahan asat Undang-undang Nomor 11 Tahun 2008. Dimana praktiknya penggunaan tanda tangan elektronik banyak terjadi pada perseroan terbatas yang di payungi oleh Undang-undang No 40 Tahun 2007. Namu hal ini belum menjadi suatu hal yang banyak dipraktikan, hinnga terjadilah situasi pandemi yang melanda seluruh dunia. Dimana terjadi di awal tahun 2020 melonjaknya angka pencemaran virus Covid-19 sehingga membuat pemerintah mengeluarkan aturan tentang Pembatasan Sosial Berskala Besar (PSBB) yang disusul dengan Pembatasan Kegiatan Masyarakat (PPKM) guna menekan angka penyebaran dan kematian. Dimana di kedua situasi ini seluruh mobilitas masyarakat sempat mengalami penghentian dan dibatasi. Relevansi dengan pelaksanaan kepatuhan terhadap UUPT bahwa setiap tahunnya wajib diadakan Rapat Umum Pemegang Saham (RUPS) tidak terlepas pada situasi pandemi 2020 ini yang kemudian menjadi sebuah gong bagi para pembuat kebijakan untuk mengeluarkan pernagkat-perangkat hukum yang dinilai dapat memfasilitasi kepentingan para pelaku bisnis dalam kondisi yang serba terbatas dan mendesak. Hal ini kemudian menjadi polemik dimana salah satu kebutuhan yang mendesak di lapangan nya ialah kepentingan penggunaan tandatangan elektronik oleh pemegang saham terhadap pelaksanaan jalannya pelaksanaan RUPS, namun belum ada perangkat hukum yang cukup lengkap dan bersinergi satu sama lain yang dapat memayungi terkait dengan penggunaan dan keabsahannya. / The development of the times requires all legal aspects to continue to be able to work together to prevent a legal vacuum. Whereas it is inevitable for private companies that cannot avoid the rapid development of technology that promises to provide convenience and speed. The initiation of the use of electronic signatures appeared for the first time in UUITE No. 19 of 2016 concerning of Amendments to Law Number 11 of 2008. Where in the practical, the use of electronic signatures occurs mostly in limited liability companies under the Law No. 40 of 2007 about Limited Liability Company. However, this has not become something that is widely practiced, until a pandemic situation occurs that has hit the whole world. Happened at the beginning of 2020 was the soaring number of Covid-19 virus spreading, which prompted the government to issue regulations regarding Large-Scale Social Restrictions (PSBB), followed by Restrictions on Community Activities (PPKM) to reduce the spread and death rates. Where in these two situations all community mobility had experienced a halt and was limited. The relevance to the implementation of compliance with the Limited Liability Company that every year it is a mandatory to hold a General Meeting of Shareholders (GMS) is inseparable from the 2020 pandemic situation which later became a red button for policy makers to issue legal instruments immediately which can facilitate the interests of businesspeople in this pressing situation. This matters then become a polemic where one of the urgent needs in the field is the interest in the use of electronic signatures by shareholders in order to represent at AGMS, but there is no legal instrument that is quite complete and synergizes with each other which can be an umbrella related to its use and validity.
