Abstract

Tesis ini berjudul “KEDUDUKAN HUKUM PERSEROAN PERORANGAN DALAM IKLIM USAHA DI INDONESIA”. Latar belakang dalam penulisan ini yaitu hadirnya perseroan perorangan sebagai badan hukum yang diatur dalam Undang-Undang Republik Indonesia Nomor 11 Tahun 2020 tentang Cipta Kerja. Perseroan perorangan berbeda dengan konsep perseroan terbatas sebagai persekutuan modal yang diatur sebelumnya dalam Undang-Undang Hukum Dagang (KUHD), Undang-Undang Republik Indonesia Nomor 1 Tahun 1995 tentang Perseroan Terbatas dan Undang-Undang Republik Indonesia Nomor 40 Tahun 2007 tentang Perseroan Terbatas. Dalam penelitian ini penulis mengangkat permasalahan mengenai pengaturan perseroan perorangan dalam menciptakan iklim usaha yang kondusif di Indonesia. Selain itu, penulis melakukan perbandingan pengaturan perseroan perorangan yang berlaku di Indonesia dengan negara Inggris. Tujuan penulis dalam tesis ini adalah untuk mengkaji pengaturan perseroan perorangan pasca terbitnya Undang-Undang Republik Indonesia Nomor 11 Tahun 2020 tentang Cipta Kerja dan pengaturan perseroan perorangan di negara Inggris. Teknik yang digunakan dalam penulisan tesis ini yaitu pendekatan melalui perundang-undangan. Pendekatan melalui peraturan perundang-undangan dilakukan oleh penulis dengan mengidentifikasi serta membahas peraturan perundang-undangan yang berlaku berkaitan dengan permasalahan yang dianalisis. / This thesis is entitled "THE LEGAL STANDING OF PRIVATE LIMITED COMPANY IN THE BUSINESS CLIMATE IN INDONESIA". The background of this writing is the presence of private limited companies as legal entities regulated in The Law of the Republic of Indonesia Number 11 of 2020 concerning Job Creation. A private limited company is different from the concept of a limited liability company as a capital partnership which was previously regulated in the Commercial Law, The Law of the Republic of Indonesia Number 1 of 1995 concerning Limited Liability Companies and The Law of the Republic of Indonesia Number 40 of 2007 concerning Limited Liability Companies. In this research, the author addresses the issue of regulating private limited companies to create a conducive business climate in Indonesia. Additionally, the author compares the regulations of private limited companies in Indonesia with those in England. The author's aim in this thesis is to examine the regulation of private limited company after the publication of The Law of the Republic of Indonesia Number 11 of 2020 concerning Job Creation and the regulation of private limited company in the UK. The technique used in this thesis is a statutory approach. The statutory approach is employed by identifying and discussing applicable laws and regulations related to the problems analyzed.
