Abstract

Perseroan Perorangan adalah bentuk manifestasi dari tujuan UU Cipta Kerja. Kemudahan yang diberikan berupa persyaratan pendirian yang lebih mudah, yaitu didirikan menggunakan pernyataan pendirian dan usia minimal pendiri 17 (tujuh belas) tahun. Setiap pelaku usaha tentunya bercita-cita untuk mengembangkan usahanya sebesar mungkin, sehingga bagi Perseroan Perorangan, akan ada masanya bahwa Perseroan Perorangan yang didirikan tidak lagi memenuhi kriteria usaha mikro dan kecil, sehingga perlu merubah statusnya menjadi Perseroan Persekutuan Modal. Bagi pendiri Perseroan Perorangan yang berusia 17 (tujuh belas) tahun, perubahan tersebut menjadi tantangan, terutama mengenai status badan hukum Perseroan Perorangannya. Tujuan penelitian ini adalah memecahkan permasalahan hukum mengenai kepastian hukum bagi pendiri perseroan perorangan yang perseroan perorangannya tidak lagi memenuhi kriteria usaha. Metode penelitian yang digunakan adalah metode penelitian hukum normatif dengan pendekatan terhadap asas-asas hukum serta menggunakan data sekunder berupa bahan hukum primer, sekunder, tersier. Hasil penelitian ini menunjukkan bahwa status badan hukum Perseroan Perorangan dengan pendiri berusia 17 (tujuh belas) tahun yang berubah menjadi Perseroan Persekutuan Modal tetap mempertahankan status badan hukumnya selama pendiri melepaskan kepengurusan atas Perseroan Persekutuan Modal tersebut. Pengaturan mengenai perubahan Perseroan Perorangan menjadi Perseroan Persekutuan Modal belum memberikan kepastian hukum, terutama bagi pendiri berusia 17 (tujuh belas) tahun. / Individual Company (Perseroan Perorangan) is a manifestation of empowerment for micro and small businesses. The convenience provided is in the form of easier establishment requirements, being established using a statement of establishment (pernyataan pendirian) and a minimum age of founders of 17 (seventeen) years. Every business certainly aspires to be as big as possible, so for Individual Companies, there will be a time when the Individual Companies no longer meet the criteria for micro and small businesses, so it is necessary to change its status to a Capital Partnership Company (Perseroan Persekutuan Modal). For the founders of Individual Companies who are 17 (seventeen) years old, the change is a challenge. The research method used is the normative legal research method with an approach to legal principles. The results of this study indicate that the legal status of an Individual Company with a founder aged 17 (seventeen) years old that changes to a Capital Partnership Company maintains its legal status as long as the founder relinquishes management of the Capital Partnership Company. The regulation regarding the change of an Individual Company to a Capital Partnership Company has not provided legal certainty, especially for founders aged 17 (seventeen) years.
