Pengaturan yang membatasi jangka waktu penyelenggaraan RUPS ketiga sebagaimana dimaksud dalan Pasal 86 ayat (9) UUPT, pada faktanya telah menimbulkan ketidakpastian hukum, karena dapat atau tidaknya perseroan memenuhi jangka waktu yang diatur sangat tergantung pada proses perolehan penetapan kuorum RUPS ketiga dari pengadilan. Permasalahan dalam tesis ini adalah mengenai kepastian hukum terkait jangka waktu penyelenggaraan RUPS ketiga setelah adanya Putusan Mahkamah Konstitusi Nomor 84/PUU-XI/2013 yang menyatakan Pasal 86 ayat (9) UUPT inkonstitusional dan tidak mempunyai kekuatan mengikat. Dalam pertimbangannya, Mahkamah Konstitusi menyatakan ketentuan dimaksud tidak memberikan kepastian hukum, mengingat jangka waktu paling cepat 10 (sepuluh) hari dan paling lambat 21 (dua puluh satu) hari setelah RUPS kedua dilakukan untuk menyelenggarakan RUPS ketiga, adalah tidak mungkin dilakukan karena penentuan kuorum RUPS ketiga yang dilakukan berdasarkan penetapan pengadilan, sementara proses sidang pengadilan pasti membutuhkan waktu. Penelitian ini dilakukan dengan menggunakan metode yuridis normatif dengan pendekatan perundang-undangan, konsep dan kasus. Hasil penelitian ini adalah, Putusan Mahkamah Konstitusi Nomor 84/PUU-XI/2013 telah memberi kepastian hukum terhadap batas waktu penyelenggaraan RUPS ketiga. / Stipulation which limits the time period to hold a third general meeting of shareholders (GMS), as in article 86 paragraph (9) of the Indonesian Company Law (ICL), has in fact caused a legal uncertainty, because whether a company can fulfil the time limitation or not depends on the process on obtaining the court decision regarding the quorum for the third GMS. The issue raised in this thesis is regarding the legal certainty of time period for the holding of the third GMS after the issuance of Constitutional Court Decision Number 84/PUU-XI/2013 which declared article 86 par. (9) ICL unconstitutional and legally not binding. In its consideration, the Constitutional Court stated that the provision does not provide a legal certainty, considering that the time period of 10 (ten) days at the soonest and 21 (twenty one) days at the latest after the second GMS was held to hold the third GMS is infeasible, considering that the quorum for the third GMS need to be based on a court decision, meanwhile the court hearing process requires times. This analysis is conducted using normative juridical method, with statutory, conceptual and case study approach. The conclusion reached by the study is that, Constitutional Court Decision Number 84/PUU-XI/2013 had given legal certainty to time limit to the holding of the third GMS.
