Trade secret are one of the commercial symbol in the franchise business. Formulas (Trade Secret) used to produce goods or services need a legal protection. In a franchise business outline, the franchisor with the franchisee has a direct attachment (relatioship), wherre the franchisor is a company that carries out its own business activities that must have at least two things, namely a trademark that is well known by the public and a business/marketing system that is quite spesific and famous. Franchisor as the owner of franchise company is actually required to provide initial information to prospective franchise through a disclosure offering document. So that the disclosure offering document is expected to provide information to prospective franchisees to learn about or understand the business they are going to run. But as the franchise business system grows in Indonesia, many franchisees misuse information or trade secret provided by the franchisor for the benefit of economic value. In the franchise business, especially in the food and beverage sector, recipe/formulas have been very much plagiarism or theft comitted by outsiders as well as those within the company. This is due to the absence of strong regulations governing leakage or plagiarism of trade secret in franchise agreements between the parties. So it is very important to create effort to prevent leakage of trade secrets such as recipes/formulas in the field of food and beverage in order to minimize losses on this type of franchise business.
